On August 14, Space Exploration Technologies Corp. (Nasdaq: SPCX) completed a deal to acquire Cursor, making the AI code development company a wholly-owned subsidiary of SpaceX, as part of SpaceX's expansion of investments in AI infrastructure and models. SpaceX confirmed that the merger became effective on August 14 in a Form 8-K filed with the U.S. Securities and Exchange Commission (SEC).
Upon completion of the deal, Cursor's common and preferred stock were converted into rights to receive an aggregate of 389,289,254 shares of SpaceX Class A stock. SpaceX reported that the deal value was calculated based on an implied market valuation of Cursor at $60 billion, with the SpaceX share price determined based on its volume-weighted average closing price over the seven trading days immediately preceding the deal's completion.
In a statement dated August 14, Cursor confirmed the deal and directly linked its completion to the companies' previously established collaboration in computing. Cursor wrote:
"Cursor is officially acquired by SpaceX. This completes the acquisition process that began in April when we announced our partnership with SpaceXAI to accelerate our model training efforts."
The deal followed the signing of a definitive merger agreement on June 16 between SpaceX, its wholly-owned subsidiary X67 Inc., and Anysphere Inc., which operates Cursor. The agreement provided for the merger of X67 with Cursor, leaving Cursor as the sole surviving, wholly-owned subsidiary of SpaceX after the fulfillment of closing conditions.
SpaceX Stock Forms Bulk of Consideration
At the deal's close, Cursor's outstanding restricted stock units were also converted into rights to receive 1,752,426 shares of SpaceX Class A stock, before withholding applicable taxes. SpaceX also assumed Cursor's outstanding awards, converting them into approximately 29.1 million restricted SpaceX shares and 44.4 million options to purchase SpaceX Class A stock.
Initially in April, SpaceX secured an option to acquire Cursor for $60 billion, while the companies began a model training partnership. This agreement gave Cursor access to SpaceXAI's computing infrastructure during work on scaling model training, after which the companies moved to sign a definitive merger agreement in June and completed the acquisition deal on August 14.
The company issued securities in connection with the merger deal without conducting a registered public offering, utilizing the exemption provided by Section 4(a)(2) of the Securities Act. In SpaceX's filings, this issuance is described as a transaction by the issuer not involving a public offering, distinguishing the acquisition consideration from shares sold to the broad public investor base.
Computing Partnership Led to Full Merger
Cursor and SpaceX began collaborating in April after Cursor stated that computing capacity had become a limiting factor for scaling its AI models. Under the model training partnership announced on April 21, Cursor said its researchers would use SpaceXAI's Colossus infrastructure to increase training scale, as previous Composer models had shown improved results with more computational resources.
Subsequently, this collaboration expanded to joint model development. By July, Cursor and SpaceXAI were preparing a jointly-developed AI model, extending the scope of interaction from access to computing infrastructure to co-developing and distributing models through developer-focused products.
The completed merger gives Cursor access to significantly greater GPU capacity, which the company plans to use to build more powerful models that are cheaper for customers to operate. The company characterized the expansion of SpaceX's infrastructure as a key factor for achieving this goal, not merely additional corporate resources following the acquisition.
At the end of its August 14 statement, Cursor wrote:
"SpaceX is building the computational capacity required to scale intelligence far beyond what exists today. Cursor will become one of the places where that intelligence finds practical application."
Cursor Becomes Part of Broader AI Infrastructure Development Strategy
Large GPU clusters perform the parallel computations necessary for training and running modern AI systems, making computational resource availability a strategic factor for companies developing increasingly large-scale models. The broader AI computing ecosystem also includes decentralized approaches that distribute computing power across independent infrastructure rather than concentrating it with a single operator.
Concurrently, SpaceX is developing a broader computing strategy beyond Cursor. Musk has discussed plans to scale AI computing infrastructure using SpaceX's broader technology platform, and the company itself has identified AI computing among the areas it plans to invest capital in as it expands its operations.
This strategy is also reflected in SpaceX's reporting as a public company, where AI computing infrastructure is included among growth priorities. Cursor, in turn, stated that this acquisition will allow it to continue developing AI systems capable of taking on a more significant portion of software development work, while utilizing significantly greater computing power.
