L'entreprise ne peut fournir de manière transfrontalière que les services couverts par son autorisation d'origine et doit toujours respecter les règles applicables en matière de protection des consommateurs, de lutte contre le blanchiment d'argent, de marketing, entre autres. Mais comparé aux enregistrements multiples répétés du passé, le MiCA offre effectivement un mécanisme d'accès au marché unique européen plus clair.

Pour les projets, la plus grande valeur commerciale du CASP n'est pas d'« obtenir un certificat européen de plus », mais de placer les clients, les activités et les partenariats institutionnels de différents États membres dans un cadre réglementaire réutilisable et vérifiable de l'extérieur.

Quelles activités une licence CASP peut-elle réellement couvrir ?

Le MiCA n'accorde pas de manière vague une « licence crypto » aux entreprises, mais délimite le périmètre des services sur crypto-actifs selon les fonctions réelles de l'activité. Les services concernés incluent : la conservation et la gestion de crypto-actifs pour le compte de clients, l'exploitation d'une plateforme de négociation de crypto-actifs, l'échange de crypto-actifs contre des fonds, l'échange de crypto-actifs entre eux, l'exécution d'ordres de clients, le placement de crypto-actifs, la réception et la transmission d'ordres, la fourniture de conseils sur crypto-actifs, la gestion de portefeuille, ainsi que la fourniture de services de transfert de crypto-actifs pour le compte de clients.

Ainsi, un même produit de paiement en stablecoin destiné aux entreprises peut avoir une nature réglementaire complètement différente. Si la plateforme ne fournit qu'une interface technique ne contrôlant pas les actifs des clients, la portée applicable du CASP peut être relativement limitée. En revanche, si la plateforme reçoit les stablecoins des clients, contrôle les portefeuilles de regroupement, effectue les échanges d'actifs et transfère les actifs aux commerçants ou fournisseurs selon les instructions des clients, elle peut relever simultanément des services de conservation, d'échange et de transfert. Si la plateforme propose en outre des fonctionnalités de négociation interne, d'appariement d'ordres ou de gestion d'actifs, l'étendue de l'autorisation requise et l'intensité de la conformité augmenteront encore.

Le CASP n'est pas un nom que le projet choisit lui-même dans une liste de services comme semblant le plus proche, mais c'est l'autorité de régulation qui détermine quelles autorisations l'entreprise doit obtenir en fonction des fonctionnalités de son produit, du mode de contrôle des actifs, des flux de transaction et des responsabilités contractuelles.

Le MiCA exige également que les CASP maintiennent des garanties prudentielles appropriées. Les ressources prudentielles que l'entreprise doit maintenir sont généralement la valeur la plus élevée entre l'exigence de capital minimum correspondant à sa catégorie d'activité et 25 % des frais de gestion fixes de l'année précédente. Pour les banques, les établissements de paiement et les clients institutionnels évaluant un projet crypto, la question la plus difficile à traiter n'est souvent pas de savoir si l'entreprise dispose de documents d'enregistrement, mais ce que signifient réellement les enregistrements dans différents pays, si la licence couvre l'activité réelle, et sur quelle entité reposent finalement les actifs des clients et la responsabilité réglementaire.

Le MiCA améliore la vérifiabilité du statut CASP en unifiant les exigences d'autorisation et les informations réglementaires publiques. Le registre et la base de données établis par l'ESMA concernant le MiCA peuvent être utilisés pour consulter les CASP autorisés et d'autres informations réglementaires. Les partenaires institutionnels n'ont pas à se fier uniquement aux documents de licence présentés par le projet, mais peuvent vérifier l'état de l'autorisation de l'entreprise, l'autorité de surveillance du pays d'origine et les antécédents réglementaires associés.

Plus important encore, l'autorisation CASP ne se limite pas à l'examen d'un ensemble de procédures écrites. L'ESMA souligne dans ses documents d'orientation réglementaire que les autorités de surveillance doivent examiner de manière approfondie l'exploitation réelle, la gouvernance d'entreprise, le plan d'affaires, les arrangements de sous-traitance, les systèmes informatiques et de lutte contre le blanchiment des entreprises ; un examen plus approfondi doit être réalisé pour les demandeurs dont les activités transfrontalières sont d'une ampleur importante, la structure de groupe complexe ou qui dépendent fortement d'une sous-traitance à l'étranger.

Cela signifie qu'une entreprise capable d'obtenir et de maintenir une autorisation CASP doit prouver aux autorités de régulation : que le projet a une entité et des arrangements de gestion réels dans l'UE, que son plan d'affaires est cohérent avec le produit réel, que les actifs des clients et de l'entreprise peuvent être distingués, que les fonctions technologiques et de conformité clés ne sont pas entièrement externalisées à l'étranger, et qu'il existe des mécanismes exécutoires en cas de défaillance système, de plainte d'un client ou de retrait du marché.

Le CASP ne garantit pas qu'une banque ouvrira un compte, ni qu'un grand client signera un contrat, mais il fournit aux banques et aux institutions un langage réglementaire unifié pour leur due diligence.

Les projets non-UE auront du mal à continuer de s'appuyer sur une « entité offshore et une acquisition passive de clients »

À l'ère du MiCA, le fait qu'un projet entre ou non sur le marché de l'UE ne dépend pas seulement de son lieu d'enregistrement, mais surtout de qui il cible réellement, de qui signe les contrats, et de quelle entité fournit réellement le service.

Le CASP est important, mais ce n'est pas un passe-partout pour les activités financières dans l'UE

Le MiCA couvre principalement les crypto-actifs qui ne sont pas encore réglementés par d'autres lois de services financiers de l'UE. Si un type de jeton constitue un instrument financier en raison de ses droits réels et de ses attributs économiques, il peut relever du cadre de régulation des valeurs mobilières comme MiFID II, et non être automatiquement classé sous le MiCA simplement parce qu'il utilise la technologie blockchain.

Le CASP résout le problème de l'identité de prestataire de services sur crypto-actifs, mais une activité de paiement en crypto-actifs complète nécessite toujours de placer les fonctions côté actifs numériques et côté monnaie fiduciaire dans les cadres réglementaires appropriés.

Quels projets devraient prioritairement envisager le CASP MiCA ?

Deuxième catégorie : les projets qui préparent une collaboration avec des banques, des EMI, des PI, de grands commerçants ou des clients institutionnels de l'UE. Ces partenaires demanderont généralement au projet de préciser la portée de la licence CASP, le mode de contrôle des actifs des clients, l'autorité de surveillance du pays d'origine et la situation des notifications transfrontalières, et de vérifier la répartition réelle des tâches entre l'entité de l'UE et les entités offshore au sein du groupe.

Troisième catégorie : les groupes ayant déjà atteint un certain volume d'activités et souhaitant regrouper leurs activités dans plusieurs pays européens sous une seule entité réglementée. Le mécanisme de passeport du MiCA peut réduire les demandes répétées, mais le projet doit choisir un État membre d'origine disposant d'une base opérationnelle réelle et aligner la direction, la technologie, la conformité et les décisions clés sur cette entité.

À l'inverse, si un projet en est encore au stade de validation de produit, n'a pas de plans clairs pour des clients et un marché européens, et ne prévoit pas pour le moment de marketing ni de services continus dans l'UE, lancer directement une demande CASP peut être disproportionné. Une approche plus raisonnable consiste d'abord à définir clairement les limites du marché, à restreindre les activités dans l'UE, et à concevoir à l'avance la structure future de l'entité et du produit conformément aux exigences du MiCA.
