今年1月份,浙江衢威智合控股合伙企业(以下简称“衢威智合”)的进入,让外界看到了公司的另一种可能性。而一周多前的控制权转让公告,更是让外界纷纷猜测,是不是衢威智合背后做固态存储和计算融合方案(存储芯片)的威固信息技术(衢州)股份有限公司(以下简称“威固信息”)要借道上市,但目前来看这种幻象已经破灭。

闪电终止控制权变更

将时间拨回至2026年7月31日晚间,宝莱特突然发布公告称,控股股东燕金元及一致行动人王石正在筹划可能导致公司控制权发生变动的重大事项。这一消息犹如一颗深水炸弹,瞬间点燃了市场的炒作热情。

其实,易主的苗头最早在今年1月初就已经开始萌芽。2026年1月12日,在公司业绩已经出现明显颓势的背景下,控股股东燕金元及一致行动人王石与衢威智合签署《股份转让协议》,以9.45元/股的价格协议转让了7%的公司股份,套现约1.75亿元。5月28日,该笔股份过户完成,衢威智合正式成为持股5%以上的重要股东。

笔者从公开信息中了解到,公司主打高可靠特种固态存储业务,自研闪存控制器与固件算法,产品覆盖芯片级、嵌入式、加固式存储解决方案,主要面向航空航天、军工装备、轨道交通、车规等高可靠性场景,同时布局信创、工业存储赛道,核心团队具备超算项目技术背景,手握全套军工资质。

因为其在存储业务上的发展,也吸引了产业与国资背景的投资方入局。2020年12月,公司完成2亿元C轮融资,航天科工系投资平台、中铝资本、山东高速等央企及地方国资,多家上市公司产业资本共同参与;2021年9月,公司再获数亿元C+轮融资,深创投、前海母基金、超越摩尔基金等头部机构相继入场。并在2024年8月,完成D+轮融资。

显然,威固信息和宝莱特有着巨大差异的主业,这也让市场和投资者都浮想联翩,正是基于这种“跨界重组”的强烈预期,宝莱特股价在2026年内一度走出翻倍行情。公司股价自1月5日收盘价8.61元持续拉升,5月20日盘中触及21.67元,区间最大涨幅达151.68%。截至7月31日停牌前,股价年内涨幅高达137.78%,停牌前一个交易日更是大涨10.37%。

但这一切都被8月7日晚间披露的终止筹划控制权变更公告击碎。宝莱特方面表示,停牌期间控股股东与交易对方就相关重大事项进行了充分探讨,“由于涉及事项较多,相关交易方经慎重考虑,认真听取各方意见,决定终止筹划本次控制权变更事项”。

深陷亏损泥潭

如果说控制权变更的终止是压垮股价的直接导火索,那么宝莱特亏损的基本面,才是其20CM跌停的根本原因。

作为一家2011年登陆创业板的老牌医疗器械企业,宝莱特早年依靠监护仪业务站稳市场。时过境迁,血液透析业务已经成长为公司第一大收入支柱,企业重心向肾科医疗倾斜,但监护仪业务并未退场,依旧作为重要的高毛利业务板块与血透业务双轮并行。

自2023年起,宝莱特便陷入了持续亏损的泥沼。财务数据显示,2023年至2025年,公司净利润分别为-6518.51万元、-7144.13万元和-6942.78万元,三年累计亏损额超过2亿元。进入2026年,亏损的态势并未得到遏制,一季度财报显示,公司营收同比下滑1.91%至2.43亿元,净利润亏损731.89万元,扣非净利润亏损更是扩大至1462.75万元。

究其原因,首当其冲的便是国家医保局主导的医疗耗材集中带量采购(集采)。随着国内血透耗材集采的全面落地,透析器、透析液等产品价格遭遇断崖式下跌,宝莱特的毛利率被严重挤压。
