Abstract

Ngày 7/7, Công ty Cổ phần Công nghệ Loxia (002617.SZ) thông báo chính thức chấm dứt hai dự án góp vốn định hướng silicon carbide (SiC) từ đợt phát hành cổ phiếu năm 2021, và chuyển 1,217 tỷ NDT còn lại thành vốn lưu động vĩnh viễn. Giá cổ phiếu sau đó giảm gần 40% trong 8 phiên. Tính tổng từ năm 2020, Loxia Tech đã hai lần phát hành cổ phiếu định hướng, huy động tổng cộng khoảng 3,2 tỷ NDT cho kế hoạch "bán dẫn thế hệ thứ ba" trăm tỷ. Tuy nhiên, sau 6 năm, chỉ chưa đầy 300 triệu NDT thực sự được đầu tư vào xây dựng dự án SiC, số còn lại (khoảng 2,9 tỷ NDT) chủ yếu dùng để bổ sung vốn lưu động và trả nợ. Dự án 24 vạn tấm nền/năm ban đầu liên tục bị trì hoãn. Công ty nhiều lần bày tỏ sự tự tin trong các báo cáo, nhưng đến tháng 7/2026 lại tuyên bố chấm dứt với lý do thị trường 6 inch đã bão hòa và giá giảm. Thông tin về công suất thực tế của dự án mập mờ: có nguồn nói "đã hoàn thành" 6 vạn tấm/năm, có nguồn lại nói "kế hoạch đạt" 6 vạn tấm trong năm nay. Từ năm 2022 đến 2025, công ty con hợp tác tại Hợp Phì là Hợp Phì Loxia Semiconductor chỉ ghi nhận doanh thu 3,2492 triệu NDT và lỗ ròng 344 triệu NDT. Trong khi Loxia Tech chậm chân với 6 inch, các đối thủ như Thiên Nhạc Tiên Tiến, Thiên Khoa Hợp Đạt đã sản xuất hàng loạt 8 inch và có đột phá với 12 inch. Loxia Tech tuyên bố sẽ dùng vốn tự có tiếp tục phát triển nền 8 và 12 inch, nhưng năng lực R&D của họ thấp hơn hẳn đối thủ (chi phí R&D năm 2025 chỉ chiếm 2,74% doanh thu). Tối ngày 7 tháng 7, Công ty TNHH Công nghệ Luxiao (002617.SZ) đã công bố thông báo chính thức chấm dứt hai dự án huy động vốn phát hành cổ phiếu ưu đãi năm 2021 liên quan đến Silicon Carbide và sử dụng vốn còn lại 12.17 tỷ nhân dân tệ để bù đắp lưu động vĩnh viễn. Trong 8 phiên giao dịch sau khi thông báo được công bố, giá cổ phiếu của công ty đã giảm gần 40%.

Lưỡi cắt trên biểu đồ K đã cắt không chỉ niềm tin thị trường mà còn cả bản đồ phát triển Silicon Carbide trăm tỷ mà Luxiao Technology đã vẽ ra kể từ năm 2020.

Năm 2020, Luxiao Technology bước chân vào lĩnh vực bán dẫn thế hệ thứ ba một cách ồn ào, lập kế hoạch đầu tư trăm tỷ và khởi động hai đợt phát hành cổ phiếu ưu đãi. 6 năm qua, tổng cộng đã huy động được khoảng 32 tỷ nhân dân tệ từ hai đợt, trong đó chưa đầy 3 tỷ thực sự được đầu tư vào xây dựng các dự án Silicon Carbide, khoảng 29 tỷ còn lại được sử dụng thông qua các cách thức như bù lưu động, trả nợ.

Đáng cảnh giác hơn là "chiếc bánh cũ" chưa xong, "chiếc bánh mới" đã trên đường. Đồng thời với việc chấm dứt dự án, công ty nhấn mạnh sẽ tiếp tục thúc đẩy kinh doanh đế Silicon Carbide 8 inch và 12 inch bằng vốn tự có/tự huy động. Tuy nhiên, thực tế là cuộc đua công nghệ và mở rộng năng lực sản xuất của các đối thủ cạnh tranh đã chuyển hoàn toàn từ 6 inch sang 8 inch và thậm chí 12 inch, cơ cấu ngành đã sơ bộ định hình. Trong khi đó, tình trạng hiện tại của "người đàn ông then chốt" trong công nghệ Silicon Carbide của Luxiao Technology - Nhà khoa học chính Chen Zhizhan - lại không rõ ràng trong các tiết lộ thông tin của công ty.

Nhìn vào dòng thời gian dài hơn, kể từ khi niêm yết năm 2011, Luxiao Technology liên tục chạy đua theo hướng này hướng khác, thường xuyên thực hiện các vụ mua lại và đầu tư theo trào lưu, ngành kinh doanh chính từ dây đồng tráng men lần lượt mở rộng sang cơ điện, đá quý sapphire, xe điện, quang điện, Silicon Carbide, máy nâng người. Tương phản với điều này, bên kiểm soát thực sự của công ty lại bận rộn thoái vốn. Theo thống kê không đầy đủ, kể từ năm 2018, gia đình người kiểm soát thực sự đã tích lũy thoái vốn khoảng 1.993 tỷ nhân dân tệ, và đầu tháng 6 lại đưa ra kế hoạch giảm sở hữu không quá 33.4105 triệu cổ phiếu.

Hơn một thập kỷ kể từ khi niêm yết của Luxiao Technology đã cho thị trường thấy một mẫu vận hành vốn lấy huy động vốn làm nền tảng và đuổi theo xu hướng làm cốt lõi. Phân tích lại Luxiao Technology có thể trở thành một tấm gương, phản chiếu sự điên cuồng của thị trường A và cảnh tỉnh các nhà đầu tư đang "lên cơn".

Con đường vẽ bánh Silicon Carbide huy động 32 tỷ

Bố trí đế Silicon Carbide của Luxiao Technology bắt đầu vào năm 2020. Lúc đó, ngành công nghiệp bán dẫn thế hệ thứ ba trong nước đang trong giai đoạn cửa sổ chính sách, Luxiao Technology cao điệu thâm nhập, và vào tháng 8 đã đưa ra thông báo trọng tâm, dự định cùng với huyện Changfeng, thành phố Hefei đầu tư xây dựng Khu công nghiệp bán dẫn công suất thế hệ thứ ba (Silicon Carbide) với quy mô đầu tư dự kiến 100 tỷ nhân dân tệ. Theo kế hoạch, giai đoạn một đầu tư 2.1 tỷ nhân dân tệ, quy hoạch công suất hàng năm 240.000 tấm đế Silicon Carbide dẫn điện loại 6 inch và 50.000 tấm wafer ngoại vi, dự kiến xây dựng xong trong 12 tháng, dự kiến thu nhập hàng năm ổn định là 1.274 tỷ nhân dân tệ, lợi nhuận ròng 152 triệu nhân dân tệ. Lần đầu (khởi động tháng 4/2020, hoàn thành phát hành tháng 2/2021): Công bố dự thảo vào tháng 4/2020, kế hoạch huy động 1 tỷ nhân dân tệ, thực tế hoàn thành vào tháng 2/2021, chỉ huy động được 643 triệu nhân dân tệ, số thuần 615 triệu nhân dân tệ. Trong đó, 285 triệu nhân dân tệ dùng cho "dự án công nghiệp hóa tấm đế Silicon Carbide mới xây dựng" (4 inch/6 inch), 30 triệu nhân dân tệ cho dự án trung tâm R&D Silicon Carbide, 300 triệu nhân dân tệ trả nợ ngân hàng. Nhưng tính đến ngày 31/12/2021, dự án công nghiệp hóa chỉ đầu tư 20.4 triệu nhân dân tệ, trung tâm R&D chỉ đầu tư 3.895 triệu nhân dân tệ, trong khi 300 triệu nhân dân tệ trả nợ ngân hàng đã sử dụng hết. Ngày 30/9/2022, Hội đồng quản trị công ty thông qua việc chấm dứt hai dự án huy động vốn trên, số vốn còn lại (chiếm 96.05%) được bù lưu động vĩnh viễn.

Lần thứ hai (công bố dự thảo phát hành cổ phiếu ưu đãi ngày 23/11/2021, hoàn thành phát hành tháng 6/2022, thời điểm hoàn thành huy động vốn lần thứ hai, phần lớn vốn huy động cho dự án Silicon Carbide lần đầu vẫn chưa sử dụng): Tổng số tiền huy động là 2.567 tỷ nhân dân tệ, số thuần 2.513 tỷ nhân dân tệ. Trong đó, 1.94 tỷ nhân dân tệ dùng cho dự án giai đoạn một Khu công nghiệp bán dẫn công suất thế hệ thứ ba (Silicon Carbide) (6 inch), 445 triệu nhân dân tệ cho dự án trung tâm R&D tấm đế Silicon Carbide kích thước lớn (8 inch). Nhưng tiến độ dự án chậm, tháng 1/2026, công ty điều chỉnh giảm quy mô đầu tư dự án khu công nghiệp từ 1.94 tỷ xuống 990 triệu nhân dân tệ, tiết kiệm 950 triệu nhân dân tệ dùng để bù lưu động vĩnh viễn. Tháng 7/2026, công ty hoàn toàn chấm dứt hai dự án trên, 12.17 tỷ nhân dân tệ còn lại hoàn toàn được bù lưu động vĩnh viễn.

Hai lần phát hành cổ phiếu ưu đãi tổng cộng huy động được số thuần khoảng 3.156 tỷ nhân dân tệ, nhưng thực sự đầu tư vào xây dựng thiết bị/dây chuyền, R&D Silicon Carbide khoảng 242 triệu nhân dân tệ, chỉ chiếm khoảng 7.75%, khoảng 2.9 tỷ còn lại được sử dụng thông qua các cách thức như bù lưu, trả nợ.

Nhưng trước khi dự án chấm dứt, công ty nhiều lần công khai bày tỏ sự tự tin và triển vọng của dự án xây dựng trong báo cáo định kỳ, các hoạt động liên quan đến nhà đầu tư, còn vào tháng 11/2021 đã cao điệu công bố ký kết "Thỏa thuận hợp tác chiến lược" với Công ty TNHH Công nghệ Bán dẫn Thiên Vực Đông Quản, xác định rõ ràng rằng bên sau sẽ ưu tiên lựa chọn đế Silicon Carbide 6 inch của công ty.

Tuy nhiên, hai năm lại thêm hai năm, dự án giai đoạn một luôn tiến triển chậm. Công ty đã công bố chấm dứt hai dự án vào tối ngày 7/7 năm nay, lý do đưa ra là: năng lực sản xuất và cung cấp đế Silicon Carbide 6 inch dư thừa, và đầu tư R&D đế Silicon Carbide kích thước lớn của công ty đã đáp ứng nhu cầu R&D hiện có.

Dữ liệu ngành ở một mức độ nào đó hỗ trợ cho nhận định này - giá bán đế 6 inch trung bình của Tianke Heda đã giảm liên tục từ 4780.67 nhân dân tệ/tấm năm 2023 xuống còn 1695.96 nhân dân tệ/tấm năm 2025, và người tiên phong Silicon Carbide toàn cầu Wolfspeed cũng đã nộp đơn phá sản vào năm 2025.

Kỳ lạ là, sau 6 năm, năng lực sản xuất đế Silicon Carbide mà Luxiao Technology liên tục trì hoãn cuối cùng đã xây dựng được bao nhiêu, lại trở thành một bí ẩn. Theo hồ sơ khảo sát của công ty vào tháng 5 năm nay, Luxiao Hefei giai đoạn một hiện đã xây dựng và đạt sản lượng 60.000 tấm/năm, dự kiến sơ bộ khởi động mở rộng thêm vào nửa cuối năm 2026, từng bước nâng công suất lên 120.000 tấm/năm. Nhưng theo biểu đạt trong cuộc họp điện thoại mà Huajin Securities tổ chức vào sáng sớm ngày 8/7, có mời Tổng giám đốc điều hành Li Chentao và Tổng giám đốc Luxiao Hefei Hu Yang, theo đó "năm nay công ty sau khi trang bị đầy đủ thiết bị gia công, tổng công suất dự kiến đạt 60.000 tấm; đến tháng 10 năm nay, quy mô sản xuất 60.000 tấm Silicon Carbide 6 inch hàng năm của công ty sẽ đạt được sản xuất toàn diện và khớp toàn bộ lượng bán".

Giữa "đã xây dựng" và "dự kiến đạt" tồn tại sự khác biệt tinh tế nhưng then chốt. Công ty Quan sát với tư cách nhà đầu tư đã gọi điện cho Luxiao Technology để hỏi rốt cuộc công suất 60.000 tấm/năm đã được xây dựng hay chưa, nhân viên công ty nói không nắm được số liệu này, chỉ để tham khảo thông tin công bố công khai.

Tất nhiên, dù đã xây dựng hay chưa, bố trí kinh doanh này cũng chỉ có thể được coi là thất bại. Báo cáo định kỳ tiết lộ, từ năm 2022 đến năm 2025, Luxiao Hefei tích lũy ghi nhận doanh thu 3.2492 triệu nhân dân tệ, lỗ 344 triệu nhân dân tệ.

Từ 4 inch đến 6 inch rồi đến 8 inch: Mãi mãi "đến hội muộn"

Tổng kết bố trí Silicon Carbide của Luxiao Technology, cho thấy một nhịp điệu kỳ lạ - luôn chậm hơn ngành nửa bước, nhưng mỗi lần tụt lại phía sau, lại đưa ra kế hoạch mới với kích thước lớn hơn. Và thái độ của công ty đối với bên ngoài có thể nói là "biến việc buồn thành việc vui":

"Kinh doanh Silicon Carbide luôn là hướng phát triển chiến lược của công ty, sau này công ty vẫn sẽ sử dụng vốn tự có hoặc tự huy động để tập trung thúc đẩy kinh doanh đế Silicon Carbide 8 inch và 12 inch." "Việc chấm dứt dự án Silicon Carbide 6 inch ban đầu không có nghĩa là công ty đang rút khỏi kinh doanh Silicon Carbide. Trong thông báo và cuộc họp điện thoại, Luxiao Technology liên tục nhấn mạnh sẽ tiếp tục kinh doanh đế Silicon Carbide, và nói "Hiện tại, sản xuất Silicon Carbide của công ty sử dụng lò sinh trưởng 6 inch, đang dần chuyển sang sản xuất 8 inch; đối với sản phẩm 8 inch, công ty đang tiến hành xác minh và thử nghiệm các công nghệ mới như liên kết thủy tinh bằng laser, sẽ hoàn thành việc bổ sung xây dựng năng lực sản xuất 8 inch lớn mới trong năm nay."

Với các trường hợp thất bại liên tiếp của 4 inch, 6 inch ở phía trước, kế hoạch 8 inch/12 inch lại đang trên đường, liệu "chiếc bánh mới" có thành công không?

Ở cấp độ ngành, đối với bán dẫn thế hệ thứ ba mà Silicon Carbide là đại diện, trọng tâm của thượng nguồn là đế và ngoại vi, và đế là khâu khó nhất và đắt nhất. Ngay từ năm 2016 đến 2017, Tianke Heda đã thực hiện công nghiệp hóa sơ bộ 6 inch; từ 2019 đến 2020, 6 inch sản xuất hàng loạt thành thục; năm 2022, 8 inch R&D thành công; năm 2025, 8 inch sản xuất hàng loạt thành thục. Đến năm 2025, công suất đế Silicon Carbide của Tianke Heda đã đạt 410.700 tấm/năm, sản lượng 398.600 tấm; sản lượng của Tianyue Xianjin là 690.400 tấm, tăng 68.31% so với cùng kỳ.

Đáng chú ý, báo cáo thường niên của Tianyue Xianjin tiết lộ, cơ sở sản xuất Thượng Hải của họ bắt đầu đưa thiết bị vào tháng 1/2023, tháng 5 cùng năm đã đạt được giao sản phẩm, và vào nửa đầu năm 2024 đã đạt năng lực sản xuất hàng loạt 300.000 tấm/năm, trong khi thời gian dự kiến ban đầu để đạt mục tiêu này là năm 2026.

Nói cách khác, trong khi các đối thủ cạnh tranh tranh thủ thời gian để nâng công suất, Luxiao Technology không chỉ không theo kịp nhịp độ ngành mà còn liên tục trì hoãn. Bây giờ mới tập trung phát triển công suất 6 inch và 8 inch, rõ ràng đã "đến hội muộn".

Một nhân sự tại một doanh nghiệp đế Silicon Carbide hàng đầu cho Công ty Quan sát biết, cùng với sự gia tăng nhu cầu của các ứng dụng quy mô lớn hạ nguồn như xe điện, phát điện quang điện và lưu trữ năng lượng, cũng như sự thúc đẩy của các lĩnh vực ứng dụng mới như cơ sở hạ tầng tính toán AI, kính AR, Silicon Carbide đang phát triển theo hướng kích thước lớn hơn, vì kích thước lớn hơn có nghĩa là tổn thất mép sẽ giảm, tỷ lệ sử dụng cao hơn, có lợi hơn cho kiểm soát chi phí.

Theo thống kê và dự báo của Yole, năm 2025, tỷ trọng xuất khẩu 6 inch là 88%, 8 inch tăng lên 8%; dự kiến đến năm 2030, 8 inch sẽ đạt khoảng 35%. Đồng thời, các nhà sản xuất lớn trong ngành đang tích cực thúc đẩy R&D và sản xuất hàng loạt sản phẩm 12 inch.

Cụ thể hơn đối với các nhà sản xuất, cơ cấu ngành càng rõ ràng: Năm 2025, tỷ trọng doanh thu sản phẩm 8 inch của Tianyue Xianjin đạt 44%, thị phần toàn cầu vượt 50%; tháng 11/2024 ra mắt đế 12 inch đầu tiên trong ngành, hiện đã nhận được đơn đặt hàng từ khách hàng hàng đầu và giao hàng. Đế 12 inch của Tianke Heda cũng R&D thành công năm 2025, tỷ trọng doanh thu sản phẩm 8 inch cùng năm nâng lên 10.22%. Công ty TNHH Công nghệ Jingsheng (300316.SZ) thì trong tháng 7 năm nay tiết lộ, đang tích cực thúc đẩy xác minh khách hàng toàn cầu cho đế 8 inch, đã nhận được đơn đặt hàng hàng loạt trong và ngoài nước, R&D đế 12 inch đã đạt đột phá và sản xuất hàng loạt nhỏ.

Tất nhiên, nhân sự doanh nghiệp trên cũng nói, điều này không có nghĩa là 6 inch hoàn toàn bị loại bỏ, vẫn sẽ có một lượng nhất định. Công ty Quan sát gọi điện cho Tianyue Xianjin cũng được biết, công ty này hiện giữ lại công suất 6 inch, chỉ là sẽ không tăng thêm nữa, công suất mới bổ sung sẽ xây dựng 8 inch hoặc 12 inch dựa trên nhu cầu hạ nguồn. Họ còn tiết lộ, "dây chuyền sản xuất 6 inch xây dựng gần đây có thể chuyển đổi thành 8 inch, chỉ cần điều chỉnh lò sinh trưởng, nồi nấu là được, nhưng dây chuyền sản xuất sớm hơn thì không thể chuyển đổi."

Nhưng vấn đề hiện tại là, Luxiao Technology chưa bao giờ thực sự tận hưởng được lợi ích của 6 inch, bây giờ lại chuyển hướng sang 8 inch/12 inch, trong bối cảnh quy hoạch công suất 8 inch trong nước đã vượt 4 triệu tấm, liệu kịch bản cung vượt cầu của 6 inch trước đây có tái diễn ở 8 inch không?

"Điểm ngoặt của 8 inch dự kiến vào năm 2027, nếu đến lúc đó công suất quy hoạch đều được triển khai, rất có thể sẽ là cạnh tranh khốc liệt." Nhân sự doanh nghiệp trên thẳng thắn nói, ngành bước vào nửa sau, cạnh tranh không còn là so sánh hiệu suất đơn thuần, mà khả năng sản xuất hàng loạt ổn định quy mô lớn, chuỗi cung ứng tự chủ hoàn chỉnh mới có thể là chìa khóa để doanh nghiệp chiến thắng.

Rõ ràng, dù công suất 60.000 tấm đã được xây dựng hay chưa, công suất của Luxiao Technology so với các đối thủ cạnh tranh, khó mà nói là có lợi thế. Và Công ty Quan sát phân tích phát hiện, ở khoản đầu tư R&D then chốt, công ty cũng tụt lại phía sau rõ rệt. Năm 2025, chi phí R&D của Luxiao Technology là 101 triệu nhân dân tệ, chỉ chiếm 2.74% doanh thu, trong khi các đối thủ cạnh tranh đều trên 8%; số lượng nhân viên R&D chiếm tỷ lệ tương đương với các đối thủ, nhưng trong đó chỉ có 9 người có trình độ thạc sĩ, không tiết lộ tiến sĩ, trong khi tỷ lệ trình độ thạc sĩ/tiến sĩ của các đối thủ đều trên 29%.

Nhà khoa học chính Chen Zhizhan vẫn là người đàn ông then chốt?

Đế Silicon Carbide là ngành công nghiệp tập trung công nghệ, nhân tài là biến số cốt lõi. Luxiao Technology ở khía cạnh then chốt này, cũng đáng lo ngại tương tự.

Kể từ đợt phát hành cổ phiếu ưu đãi năm 2020, mỗi khi nói đến bố trí Silicon Carbide, công ty chắc chắn nhắc đến dự trữ nhân tài - chuyên gia Chen Zhizhan, Tiến sĩ và nhóm của ông, những người nghiên cứu sinh trưởng tinh thể Silicon Carbide từ sớm trong nước, chức vụ của Chen Zhizhan là Nhà khoa học chính, còn thông qua kế hoạch sở hữu cổ phiếu nhân viên năm 2021 trao cho ông 1 triệu cổ phiếu của công ty.
