昨天,几位二十出头的年轻人前来求助,我们了解到某直辖市XX信息科技公司,号称在平台上“寄售”数字艺术品,诱引大量年轻群体投资,采取三层“人传人”组织架构,售卖的数字作品“一眼假”(飒姐看了图片,多数是翻拍稀奇艺术公司等知名品牌的作品,基本无独创性),每幅作品20000元起拍,只要有人接盘,寄卖者与平台就分享寄卖费用,算下来每次转让寄卖者可赚取400元-800元不等的差价。现已被该直辖市某区公安机关正式立案,参与人已纷纷前往报案填表。

一、李逵 or 李鬼?

从该平台的介绍中我们可以窥见一斑,宣传PPT采取了科技风,自称:我们是一家来自中国的当代艺术垂直电商平台。愿景有两个:一是打造中国最大的当代艺术品交易平台;二是在国内挖掘最有潜力的当代青年艺术家,在世界艺术圈层传播中国艺术和中国文化。平台涉及三个主体:艺术市场、艺术家、艺术消费者,形成艺术生态闭环,此处画了一个飞轮效应的图:从用户到商品到营销,首尾相连,彼此激励。飒姐深度怀疑,这套词儿,是从市场上众多数藏平台的网站和PPT中扒来的,复制的时候,还看到了一些复制后的符号瑕疵,整体看下来制作比较粗糙、敷衍,文案却严丝合缝。

抢购规则与收益,重点来了,略微合规的平台都不会直接标注“收益”,内部法务绝对不允许平台这么做,如果艺术消费者看到平台网站或公号中出现收益、收益率等词汇,基本可以判断这家平台的合规情况不好或者连律师法务的费用都没实力支付,可直接用脚投票。

具体到这个案子,平台有一级发售和二级寄卖,两者在同一平台甚至懒得再做个跳转页,一级发售抢购时间段分为上下半场,上午10:30-11:30;下午2:00-3:00,甚至还规定了转售商品价格浮动上限为购买总金额的6%,转售商品服务费为购买总金额的4%。二级寄卖上架时间为:上午场12:30,下午场4:00,购买当天就可以转售,赚取利润。

抢购规则中,设置了静态收益和动态收益,静态收益就是销售画作的4%、6%;动态收益是人传人推广中,千分之一到三的现金、积分和代金券等感谢金。

所谓的社群,就是各种微信群。把注册用户拉入微信群,红包结算一些发展下线的资金。等到击鼓传花的游戏做不下去了,就会解散本群,由群里比较能干的人单独出来开新盘,老玩家会分给新开的盘子,继续游戏。与之前的大型金字塔结构的传销组织不同,如今的传销组织可谓“道高一尺魔高一丈”,设计出组织自我分裂机制,您可以理解为理发店的加盟模式,老师傅带徒弟,徒弟羽翼丰满后,单飞开新店,老师傅从中占一点股份,徒弟又带徒弟,子子孙孙无穷尽也。传销组织为了躲避打击,快速赚钱洗手,每一波开一个新盘,玩几个月就诞生下一个盘子,老板(节点)就不用干活只收千分之几的小比例,从现在了解的情况看,处于金字塔中上层的人,每天都有几万到几十万不等的收益。

平台老板误以为这种不断开盘的模式便能摆脱刑法的处罚,但事实上,根据《关于办理组织领导传销活动刑事案件适用法律若干问题的意见》第一条第三款的规定,组织者、领导者形式上脱离原传销组织后,继续从原传销组织获取报酬或者返利的,原传销组织在其脱离后发展人员的层级数和人数,应当计算为其发展的层级数和人数,因此传销组织的自作聪明之举并没有逃脱司法机关的法网,仍然会受到刑法的严厉制裁。

此外,这些平台老板们甚至给“抢画”的消费者们讲解刑法第224条之一组织领导传销罪的构成要件,歪曲了对三层(级)的理解,司法解释是包括本数,但平台老板没有把本数计算在内,所以仍然跑不了组织领导传销活动罪的制裁。

据悉,从今年7月5日开始就有公安机关对关联平台“受理报案”罪名为诈骗罪,直至本月某区某店派出所依法接受报案罪名不明,从上述商业模式看组织领导传销罪和诈骗罪均有可能,因为所购买的作品完全是虚构、抄袭的作品,基本不存在任何价值,即便有其价值也较低,在诈骗行为的认定上基本不存在困难,因此涉嫌构成诈骗罪,至于组织领导传销活动罪,则在前述基础上具备传销组织结构即可。目前,陆续有被骗群众去现场填表报案。现场照片如下:

鉴于我们对案件的了解,这是一起打着数字藏品一级发售和二级寄售的传销行为,手法娴熟,始作俑者擅长利用各种新鲜事物作为传销的“标的物”,也就是击鼓传花中的“花”。但我们不能因为花被当作传销工具,就否认其美感和艺术价值。其实,飒姐最怕的是市面上刚刚兴起一种新兴业态,就被不法分子利用,侵害众多消费者的财产权,然后业态被搞臭,新兴业态被“一刀切”。

所以,我们今天之所以要揭露借用NFT数字藏品来进行传销、诈骗的案例,就是想请社会各界能够秉持理性客观的态度,区分对待真正做文化数字化的企业和打着文化招牌害人的不法分子。

二、数字藏品行业,如何不被李鬼拖累?

这是一个真问题。飒姐尝试作答,仅供行业大咖们参考。

“各扫门前雪”“独善其身”的想法,无法挽救行业。从P2P行业一路看来,劣币驱逐良币是常识,如果不抱团站出来阻止不法分子的破坏,NFT行业会很快污名化,从业者将不断创造新的名字为数字藏品找个合规出路,但是,监管总是实质的,刑法总是看本质的,无论穿什么马甲,本质没有变。

尽快寻找落地实体经济的场景,让区块链技术确权成为基础设施。鉴于游戏牌照的珍贵,各大游戏公司不敢轻易涉足NFT,其实游戏行业与数字藏品有天然的融合优势。另外,对于大型港口和吞吐量极大的企业,也可以采取NFT的办法解决仓单流转等问题。

NFT自身法律性质,应归属于“权利束”。技术出身的从业者,普遍羡慕公链世界中对于NFT物权性的肯定,拿着私钥,就可以证明“占有”。殊不知在英美法系国家,对于虚拟财产的保护基本是在公司内部制度控制上,基本不会用公法来规制,这就导致一旦有虚拟财产的损失,法院判决比较冷漠,甚至责令平台再生产一个虚拟财产给消费者。

在我国对于NFT定性的争议有:物权说、债权说、著作权说、独立权利说,直到上个月王利明教授一篇文章点醒了飒姐,NFT应当是权利束(在此特别鸣谢北大陈兴良教授提点)也就是众多权利的综合体,不是单纯的物。否则,监管和司法判决就会出现逻辑对立,既然NFT是物,为啥私钥不给买家,买家拥有了私钥可以在任何地方交易,你管我炒作与否,即便是两个亿的天价又如何?!只要你情我愿就能交易,这话从民商法角度没毛病,但从监管角度呢,平台发售或寄卖的NFT被疯狂炒作,危害经济秩序,平台一定会被分配义务来约束炒作行为,甚至未来刑法也将出手(详见立法例,拒不履行网络安全义务罪)。

行业协会要切实起到沟通作用。自律组织夹在监管和市场主体之间,日子也不容易,但是没有了会员单位就没有了根基,一定得帮助市场主体争取生存空间。如今创业,婆婆众多,各家都想来管一管,自律组织如果可以将诸监管机构的压力缓释下来,形成一套比较完备的自律体系,将切实减少监管摩擦,促进经济活动润滑发展。

行业大案,早晚会来。从涉案金额和参与人数来看,今天文章所提到的案件在全国范围内甚至在本地都是中小型案件。但是,行业大案正在累积风险之中呼之欲出,一旦正式发案,其他的头部企业如何自处?有没有预案,请扪心自问。自查自纠做得如何,突发事件如何处置,这些都是压死骆驼的草。

写在最后

作为行业见证者,我们不希望新兴业态过早消弭,期待能够寻找符合我国法律框架的合规之路。然而,借用新兴业态之名,实则新瓶装老酒的传销案件和诈骗案件络绎不绝,直接影响行业整体口碑和社会美誉度。

当然,如果随着社会的发展,越来越多的人对创新试错变得宽容,对于非法集资等手段可以看穿,那么,创新行业躺枪的事情就会变少。重申:我们不希望一个新兴业态过早死亡,请区别对待蹭热度的不法分子和真正想做事的从业者。
