GEM Digital 再现资本操控游戏?Praxis 获超 5 亿美元融资“承诺”,实则资金未到账

随着Vitalik和Balaji等领袖力推网络国家,越来越多建设者开始加入并打开这一叙事的增长空间。近日,自称全球首个网络国家项目Praxis宣布获得高达5.25亿美元融资备受关注,但与此同时参投方GEM Digital之前的投资黑幕也让这笔巨额融资画上问号。

再度宣布获超5亿美元融资,用于建设科技前沿城市

10月16日,Praxis宣布获得5.25亿美元融资,这笔资金将用于加快与政府和土地所有者的交易速度和质量,来建设一座科技前沿城市。

本轮参投方包括Arch Lending、GEM Digital、Manifold Trading,以及Farcaster首席执行官Dan Romero、Dragonfly的合伙人Tom Schmidt、Rob Hadick和Anirudh Pai、ETHGlobal首席执行官Kartik Talwar、Helius Labs首席执行官Mert、Worldcoin联合创始人Max Novendstern以及Flipside Crypto数据科学家Will Price。

在此之前,Praxis还在2021年成立当年获得Bedrock CapitalWinklevoss CapitaAlumni Ventures等参与的420万美元种子轮融资,以及在2022年完成Paradigm、Alameda、三箭资本和Robot Ventures等投资的1500万美元A轮融资。

Praxis成立于2021年,由28岁的联合创始人Dryden Brown掌舵。据官网介绍,Praxis是一个互联网本土联盟,旨在加速科技进步并振兴西方文明,已拥有超1.4万名Praxians分布在84个国家,这些成员所创立的公司价值已超过4000亿美元。

Praxis的核心目标之一是建设一座全新城市,原因在于三点:(1)释放技术和科学潜力:通过在人才密集的加速区建设城市减少了监管障碍,从而推动人工智能、加密货币、生物技术个能源等领域的快速发展;(2)创建更英勇和美好的生活方式:通过文化和制度建设;(3)向世界展示在21世纪建立伟大城市的可能性。

据《华尔街日报》报道,目前Praxis尚未确定具体的城市选址,拉丁美洲和地中海地区或有可能被选定,最终会在2025年第一季度确定。Dryden Brown透露,该项目初期计划覆盖约1000英亩土地,可容纳1万人。

另外,扎哈·哈迪德建筑事务所已为Praxis提供了城市建设的概念方案,将未来主义与古典美学以及可扩展的城市规划相结合,开发工作将由前霍华德·休斯公司CEO David Weinreb负责。

GEM Digital为融资主导者,曾多次以虚假融资信息欺诈

尽管网络国家的概念日渐盛行,但Praxis如此大手笔融资令人惊讶,且GEM Digital的参与也让这笔投资颇受质疑。

“看到贝莱德等机构致力于加密货币,我们设计了一种加密原生机制,使用代币化现实世界资产(RWA)为大型项目融资,并与中东最大的新城市开发项目Global Emerging Markets合作。这笔融资也是这一提款机制的首次应用。”Praxis在融资声明中表示。这种融资机制通常是指借款人可在特定时间段内根据项目进展或需要逐步提款,而不是一次性获得全部资金。

其实,据《华尔街日报》报道,GEM DigitalCEO Jonathan Collins披露,该公司贡献了其中5亿美元资金。作为回报,Praxis需向GEM提供代表未来房地产开发所有权的代币,即只有Praxis在代币上线后才能获得这笔资金。其余资金也将按照里程碑事件分阶段发放,例如获得当地政府许可、购买建设用地、土地所有权代币化、开始施工等。

其实,这种基于绩效的投资是GEM Digital的常用手段。根据此前PANews和链捕手报道,“投资承诺”是GEM的惯用伎俩,有数十个不知名的加密项目均是以投资承诺的方式宣布融资消息,但实际上是GEM与垃圾项目方签订所谓的巨额投资协议,制造市场利好消息欺骗媒体,协同砸盘获利并分成。且甚至还有加密项目披露,GEM Digital的投资款项不会直接打款,而是在将代币卖出后由所获利润填补投资款。

另外,《华尔街日报》报道还披露,Arch Lending将提供剩余的2500万美元资金,那么这两家机构投资合计已经达到5.25亿美元,这是否意味着其余参投者只是挂名不出钱?

由此来看,Praxis或又是GEM Digital的一场资本操控游戏。
