整个AI圈都快忘了它的时候,Manus回来了。

8月11日,Manus在官网发布了一封写给用户的信:即将恢复独立公司身份,继续服务全球用户。信里没有提腾讯、真格等老股东回购的具体进度,语气克制得近乎波澜不惊。唯一值得留意的细节藏在附则里:为满足特定地区监管要求,用户自2025年12月29日之后产生的部分数据,将在8月23日至24日被删除——那一天,正是Meta宣布收购Manus的日子。用一条数据边界给一段收购关系画句号,某种意义上,这也是Manus和Meta最体面的分手方式。

从2025年3月一夜爆红,到年底以20亿至30亿美元的估值卖身Meta,再到2026年4月被中国监管叫停交易、最终由国内老股东出资回购、重获独立,Manus用一年多时间,把大多数创业公司一辈子都未必经历得完的剧情压缩着走了一遍。而它重启的这一刻,恰好卡在另一件事之后:《国务院关于对外投资的规定》(国务院令第837号)已于7月1日起正式施行。

两件事放在一起看,比单看任何一件都更有意思。

一纸新规,一个反面案例

837号令由2026年4月17日国务院第83次常务会议通过,共34条,明确对外投资即境外投资的适用范围,宗旨是"推进高水平对外开放,促进对外投资高质量发展",同时"维护国家主权、安全、发展利益"。规定强调投资者依法享有对外投资自主权,可以自主决策、自担风险、自负盈亏——但自主权的前提,是从架构设立之初就合法合规。

在新加坡从事AI出海投资和增长服务的Ellen(此前在国内主导美元基金投资)认为,这条新规和Manus事件几乎是同一套逻辑的两面:政策在明确底线,而Manus恰恰踩在了底线模糊期。在她看来,Manus的问题不是缺钱、也不是缺用户,而是"投机性换壳"——公司在政策模糊期才完成从中国主体到新加坡主体的转移,没有在创立之初就把合规架构想清楚,加上产品本身声量过大,在敏感窗口期引来了远超预期的关注。

这个判断和Manus自身的技术底色也对得上:首席科学家季逸超公开承认,Manus建立在Claude、Qwen等外部模型能力和多种开源技术之上,核心竞争力不在于一段别人写不出来的底层代码,而在于产品整合能力和2025年3月抢先建立的用户心智。

换句话说,Manus没有技术壁垒可以为高调买单,一旦被架构问题和舆论关注反噬,几乎没有缓冲空间。

Manus之后,怎么算是"稳健出海"?

Manus的坍塌,并不意味着出海这条路本身走不通。放在当下的市场里看,至少有两层现实值得拆开说。

在朱啸虎看来,面向C端用户,中国创业者在全球市场"毫无对手"——过去十年能做到百亿美金规模的消费类App,几乎全部出自中国团队,这也是美国VC近年不太投Consumer赛道的原因之一。但面向企业端,尤其是卖给美国大型企业,Go-to-Market是一场硬仗,企业采购链路长、信任建立缓慢。他给出的分水岭是ARR 5000万美元:之前靠产品驱动增长(PLG)能撑住,之后必须转向销售驱动增长(SLG),组建能打入本地关系网络的销售团队,这一步对中国创始人来说难度陡增。
