32亿募资画饼六年后九成补流:露笑科技碳化硅"产业化"的虚与实| 钛媒体深度

更值得警惕的是,“旧饼”未成,“新饼”已在路上。在终止项目的同时,公司强调将以自有/自筹资金继续推进8英寸和12英寸碳化硅衬底业务。然而现实是,同行技术竞速和产能扩张已从6英寸全面转向8英寸乃至12英寸,行业格局初定。而露笑科技碳化硅技术的“关键先生”——首席科学家陈之战的现状,公司信披却语焉不详。

拉长时间轴来看,自2011年上市以来,露笑科技一直左奔右突,“追热点式”收购与投资频频,主业从漆包线先后延伸至机电、蓝宝石、新能源汽车、光伏、碳化硅、登高机等。但折腾多年,胜率寥寥。据Wind数据公司上市以来直接融资累计70.69亿元(含IPO及多次定增、债券融资),而实现的盈利总和仅2.21亿元,累计分红仅8883.12万元。与之形成鲜明对照的是,公司实控方忙于套现。据不完全统计,2018年以来实控人家族已累计套现约19.93亿元,6月初又抛出不超过3341.05万股的减持计划

露笑科技上市以来的这十几年,向市场展示了一场以融资为底色、以追热点为核心的资本运作样本。复盘露笑科技,或将成为一面镜子,照见A股的疯狂,也警醒“上头”的投资者。

募资32亿的碳化硅“画饼”路

露笑科技的碳化硅衬底布局,始于2020年。彼时,国内第三代半导体产业迎来政策窗口期,露笑科技高调切入,并在8月抛出重磅公告,拟与合肥市长丰县共同投建第三代功率半导体(碳化硅)产业园,投资规模预计100亿元。根据规划,一期投资21亿元,规划年产能24万片导电型碳化硅衬底片和5万片外延片,拟12个月建成,预计稳定期年收入12.74亿元、净利润1.52亿元。当年10月,项目主体合肥露笑半导体材料有限公司(以下简称“合肥露笑”)快速注册落地。

而为支撑这一宏大叙事,露笑科技在三年内连续两次定增:

第一次(2020年4月启动,2121年2月完成发行):2020年4月发布预案,计划募资10亿元,实际于2021年2月完成,仅募得6.43亿元、净额6.15亿元。其中,2.85亿元用于“新建碳化硅衬底片产业化项目”(4英寸/6英寸),0.30亿元用于碳化硅研发中心项目,3亿元偿还银行贷款。但截至2021年12月31日,产业化项目仅投入2040万元,研发中心仅投入389.50万元,偿还银行贷款的3亿元则全部用完。2022年9月30日,公司董事会审议通过终止上述两个募投项目,剩余资金(占比96.05%)永久补流。

第二次(2021年11月23日披露定增预案,2022年6月完成发行,第二次募资完成时,第一次募资的碳化硅项目大部分资金尚未使用):募资总额25.67亿元,净额25.13亿元。其中,19.40亿元用于第三代功率半导体(碳化硅)产业园一期项目(6英寸),4.45亿元用于大尺寸碳化硅衬底片研发中心项目(8英寸)。但项目进展缓慢,2026年1月,公司将产业园项目投资规模从19.4亿元调减至9.9亿元,节余9.5亿元用于永久补流。2026年7月,公司彻底终止上述两个项目,剩余12.17亿元全部永久补流。

两次定增合计募资净额约31.56亿元,但真正投入碳化硅设备/产线建设、研发的约2.42亿元,占比仅约7.75%,剩余约29亿元通过补流、还贷等方式使用。

但在项目终止前,公司多次在定期报告、投关活动中公开表示项目建设的信心和前景,还在2021年11月高调官宣与东莞市天域半导体科技有限公司签订《战略合作协议》,明确后者将优先选用公司6英寸碳化硅衬底。

然而,两年之后又两年,一期项目始终进展缓慢。公司于今年7月7日晚间公告两项目终止,给出的理由是:6英寸碳化硅衬底片产能和供给过剩,且公司大尺寸碳化硅衬底片的研发投入已满足现有研发需求。

行业数据在一定程度上支撑了这一判断——天科合达6英寸衬底均价已从2023年的4780.67元/片持续降至2025年的1695.96元/片,全球碳化硅先驱Wolfspeed也在2025年申请破产。

吊诡的是,6年过去,露笑科技一再跳票的碳化硅衬底究竟建成多少产能,竟然成谜。根据公司今年5月调研记录,合肥露笑一期目前已建成达产6万片/年,初步计划于2026年下半年启动进一步扩产,逐步将产能提升至12万片/年。但华金证券7月8日早间曾召开电话会议,邀请到公司董秘李陈涛和合肥露笑总经理胡阳,根据会上的表述,“今年公司匹配全套加工设备后总产能为计划达到6万片;到今年10月,公司每年6万片6英寸SiC生产规模将实现全面生产和全销量匹配”。

“已建成”与“计划达到”之间,存在微妙而关键的差异。公司观察以投资者身份致电露笑科技询问6万片/年产能究竟是否已建成,公司工作人员称不掌握这方面数据,只是让参考公开披露的信息。

当然了,不管是否已建成,该业务布局都只能用失败来形容。定期报告披露,2022年-2025年,合肥露笑累计录得营收324.92万元,亏损3.44亿元。

从4英寸到6英寸再到8英寸:永远在“赶晚集”

梳理露笑科技碳化硅布局,呈现出一种奇特的节奏——永远比行业慢半拍,却在每一次落后时,抛出更大尺寸的新计划。且公司对外的表态堪称“丧事喜办”:

“碳化硅业务始终是公司的战略发展方向,后续公司仍将使用自有或自筹资金重点推进8英寸和12英寸碳化硅衬底片业务。”“最初筹集的6英寸SiC项目的终止并不意味着公司正在退出SiC业务。相反,这是对公司SiC项目布局的优化和前瞻性调整......”

在公告和电话会上,露笑科技一再强调将继续碳化硅衬底业务,并称“目前,公司SiC生产采用6英寸生长炉,正在逐步向8英寸生产过渡;对于8英寸产品,公司正在对激光玻璃键合等新技术进行验证和测试,将在今年完成新的大型8英寸生产能力的补充建设。”

4英寸、6英寸相继失败案例在前,8英寸/12英寸规划又在途,“新饼”能成吗?

从行业层面看,以碳化硅为代表的第三代半导体,上游的核心是衬底和外延,衬底又是最难也最贵的环节。早在2016年至2017年,天科合达就实现6英寸初步产业化;2019年至2020年,6英寸成熟量产;2022年,8英寸研发成功;2025年,8英寸成熟量产。天岳先进(688234.SH、02631.HK)6英寸也在2019年量产,8英寸于2023年量产。到2025年,天科合达碳化硅衬底产能已达41.07万片/年,产量39.86万片;天岳先进产量69.04万片,同比增长68.31%。

值得一提的是,天岳先进年报披露,其上海生产基地2023年1月开始设备进场,同年5月即实现产品交付,并于2024年上半年达到年产30万片的量产能力,而原计划实现该目标的时间为2026年。

换句话说,在同行抢时间上产能的时候,露笑科技不仅未能跟上行业节奏,还一再延宕。如今才发力6英寸和8英寸产能,明显已经“赶晚集”。

“现在还是以6英寸为主流,但正在快速向8英寸迭代。”某头部碳化硅衬底企业人士告诉公司观察,随着下游新能源汽车、光伏发电与储能等规模化应用场景需求提升,以及AI算力基础设施、AR眼镜等新兴领域应用的驱动,碳化硅正向大尺寸发展,因为更大尺寸意味着边缘损耗会减少、利用率更高、更有利于成本控制。

根据Yole的统计和预测,2025年6英寸出货量占比88%,8英寸提升至8%;预计到2030年,8英寸将达到35%左右。同时,行业内各大厂商正在积极推动12英寸产品的研发与量产。

再具体到厂家,行业格局更具象化:2025年,天岳先进8英寸产品收入占比达44%,全球份额超50%;2024年11月推出业内首款12英寸衬底,目前已获头部客户订单并交付。天科合达12英寸衬底也在2025年研发成功,同年8英寸产品收入占比提升至10.22%。晶盛机电(300316.SZ)则在今年7月披露,积极推进8英寸衬底全球客户验证,已获海内外批量订单,12英寸衬底研发取得突破并小批量生产。

当然,上述企业人士也谈到,这并不意味着6英寸就完全被淘汰了,还是会有一定的量。公司观察致电天岳先进也了解到,该公司目前保留6英寸的产能,只是不会再加了,新增产能会根据下游需求建设8英寸或12英寸。其还透露,“近期建设的6英寸产线是可以转换成8英寸的,调整长晶炉、坩埚就可以了,但更早期的产线没法转换。”

但现在的问题在于,露笑科技从未真正吃到6英寸的红利,如今又转向8英寸/12英寸,在国内规划8英寸产能已超400万片的背景下,当初6英寸供大于求的剧本,是否会在8英寸重演?

“8英寸的拐点预计在2027年,若届时规划产能都落地,大概率又会是白热化的竞争。”上述企业人士直言,行业步入下半场,竞争不再是单一性能比拼,稳定的大规模量产能力、完整自主供应链等或才是企业能够制胜的关键。

很明显,无论6万片产能是否已经建成,露笑科技的产能与同行相较,难言优势。且公司观察梳理发现,在关键的研发投入上,其也明显掉队。2025年,露笑科技研发费用1.01亿元,占营收比例仅2.74%,而同行均在8%以上;研发人员数量占比与同行基本相当,但其中硕士学历仅9人,没有披露博士,而同行硕博学历占比则均在29%以上。

首席科学家陈之战还是关键先生吗?

碳化硅衬底是技术密集型产业,人才是核心变量。露笑科技在这一关键维度上,同样令人担忧。

自2020年度定增开始,公司在言及碳化硅布局时必提公司的人才储备——国内较早从事碳化硅晶体生长研究的专家人才陈之战博士及其团队,陈之战职位为首席科学家,还通过2021年员工持股计划向其授予100万股公司股票。奇怪的是,自2023年报之后,公司再未提及陈之战,也未公告陈之战是否已离职。

公司观察致电露笑科技获悉,“陈之战博士还在公司任职。”但当问及陈之战是否仍负责碳化硅衬底板块技术工作、该团队和技术在业内是否还具备竞争优势时,公司工作人员避而不答,只道公司产品具备优势,并以“偏专业技术层面的细节了解不多”为由搪塞。

既然陈之战一直在公司任职,为何2021年以来的年报中,公司在披露研发人员学历构成时,从未提及有博士?

另外,陈之战与公司之间的羁绊,并不只是东家与首席科学家的身份这么简单。2020年10月10日,陈之战与其配偶周文红注册成立长丰四面体新材料科技中心(有限合伙)(以下简称“长丰四面体”),各持股1%、99%;同月27日,合肥露笑完成工商注册,股东之一就是长丰四面体,最初持股5%;2023年的公告显示,长丰四面体还是公司碳化硅业务委外研发受托方,仅2021年度及以前、2022年度、2023Q1,露笑科技就支付委外研发费用2383.64万元、2441.15万元和12.27万元;2023年3月,公司还曾计划收购长丰四面体持有的合肥露笑2.61%的股权,但后续并未完成收购。天眼查显示,目前,长丰四面体仍持有合肥露笑11.30%股权。

关于陈之战的近况,公开可查的学术产出信息如下:

公司观察以“陈之战”关键词在中国科学院上海硅酸盐研究所官网检索,涉及其的内容寥寥:搜索出论文11篇,但发表时间均在2007年及之前;申请专利6个,但均在2011年及之前。上海师范大学物理学院官网显示,陈之战属正高职称。而在知网检索“陈之战”,其最新发表论文是2016年;在Web of Science检索,其最新发表论文是2017年。

另外,通过专利之星检索系统搜索“陈之战”,其共有专利31项,其中,有效4项,失效26项,在审1项;且4项有效发明的公告日都在2011年/2012年,当前权利人均为安徽微芯长江半导体材料有限公司;在审的发明申请日是2025年12月12日,权利人则为上海师范大学。

有从事研发的专业人士向公司观察表示,就其可查的论文发表、期刊影响因子、论文被引用次数及发明情况来看,难以将其与“科研经费超亿元”联系起来。当然,学术产出停滞可能意味着其工作重心转向产业应用,但公司在技术领军人物信息披露上的模糊态度,无疑加重了外界的疑虑。

追热点十五年:碳化硅只是最新一章

抛开碳化硅衬底项目不谈,梳理露笑科技自2011年上市以来的转型史,可谓“追热点式”典型,其通过收购/投资先后将主业拓展至机电、蓝宝石、新能源汽车、光伏、碳化硅、登高机等。

比如,2015年,中国新能源汽车和光伏产业双双迎来上行周期,二级市场估值飙涨。2016年,公司迅即谋划发行股份加现金购买爱多能源和上海正昀,拟切入两大炙热赛道,但最终未能成行。

同年9月,露笑科技出资设立全资子公司顺通新能源汽车服务有限公司(以下简称"顺通新能源"),注册资本10亿元。但可查数据显示,顺通新能源仅2017年录得营收1.03亿元、净利润9301.62万元,其余年份或零收入/亏损,或未披露业绩,有业绩的4年合计亏损5.42亿元。仅2018年度、2019年度,顺通新能源应收账款就分别计提坏账准备37822.93万元、6798.23万元。

2017年1月,公司又溢价6倍、以3.50亿元收购上海正昀100%股权,所谓完善新能源汽车领域的布局;同月,溢价241%、以现金5.50亿元收购江苏鼎阳100%股权,切入光伏领域。但2018年,上海正昀、江苏鼎阳各计提商誉减值准备2.70亿元、2.64亿元;2019年,江苏鼎阳再计提1.06亿元。最终,公司分别在2019年、2020年以超低价2800万元、1.72亿元将两公司剥离给浙江露笑新材料(99%)和汤文虎(1%)。值得一提的是,浙江露笑新材料实际为鲁小均和李伯英控制。

唯有对顺宇洁能的并购,可堪成功案例。2019年,露笑科技发行股份购买顺宇洁能92.31%股权并募集配套资金,交易作价14.85亿元,新增光伏发电业务。

2023年开始,公司又切入登高机业务。自此,公司主业变成漆包线、光伏发电、碳化硅和登高机,但营收主力仍是漆包线,盈利来源全靠顺宇洁能。以2025年举例,公司录得营收36.72亿元,其中漆包线贡献21.14亿元、占比57.58%,但毛利率仅6.26%;归母净利润2.12亿元,同期顺宇洁能净利润为2.08亿元。

当然,转型还需要真金白银支持。在露笑科技这里,其将资本运作用到极致。据Wind数据,包括IPO在内,公司累计进行了7次直接融资,募资额70.69亿元,包括上述多个并购/投资,均为发行股份购买或直接使用募资。2021年度定增募资闲置期间被临时补流,也是主要用于登高机新业务的拓展。

而同期,公司合计仅盈利2.21亿元,分红8883.12万元,目前母公司还有未弥补亏损。同时,公司应收高企,2024年、2025年,应收账款及应收票据占各期营收的比重高达59.30%、77.86%。自我“造血”不足的露笑科技,自然需要多次募资补流或将原本的募投项目资金永久补流。

不过,即便如此,公司短期偿债能力依然承压。截至2026Q1末,公司短期借款7.67亿元,一年内到期的非流动负债2.97亿元,而同期货币资金仅5.03亿元、交易性金融资产1.04亿元。

值得一提的是,就在露笑科技融资“追热点”之时,公司股价多有拉升,公司实控方套现频频。比如,2024年“924”以来,露笑科技股价因沾热门概念录得上涨,实控人家族已在2025年12月至2026年1月完成一轮相对高位的套现。
