首先,我要感谢科尔曼秘书长的热情介绍,同时也要感谢卡尔米内的邀请,让我有机会参加这次首届圆桌会议,并组织了如此及时的对话,探讨我们如何携手合作,推动资本市场的全球竞争,同时促进各自司法管辖区的经济增长。我知道在座的各位都致力于这些目标,你们今天的到来就是最好的证明。能够在此与大家相聚,我感到非常荣幸,尤其是在我们美国证券交易委员会(SEC)重新聚焦于我们的核心使命之际:保护投资者;维护公平、有序和高效的市场;以及促进资本形成。

在进一步展开之前,我必须澄清:今天我在此发表的观点仅代表我个人,并不一定反映 SEC 这一机构,或我的其他委员同事的立场。

对我而言,重返法国有一种「回家」的感觉。上世纪 80 年代末,我还是一名年轻律师,在纽约某律师事务所的巴黎办公室工作。当时,我不仅学习了国际金融的复杂性,更体会到了跨文化合作的持久价值。在之后的几十年中,我多次在 SEC 任职,这让我更深刻地理解到:我们在美国所珍视的原则——例如自由企业的力量和资本市场的活力——在海外同样能够找到共鸣。正是本着这种精神,我非常欢迎今天关于如何在我们各自的经济体中推动增长与机会的讨论。

针对外国发行人的特殊便利安排

多年来,美欧合作一直令我着迷。我记得 1992 年「金融大爆炸」之前的那段时间,那次大爆炸催生了欧洲单一市场,并带来了随之而来的巨大机遇。对于当时身处其中的我们而言,能亲眼见证欧洲内部市场的在商业与竞争的驱动下逐步成型,是一件振奋人心的事情。在今天欧洲讨论储蓄与投资联盟(Savings and Investment Union)走向时,这些主题再次成为焦点。与此同时,即便欧洲市场日益紧密,区域之外的合作依然十分重要。像美国这样的主权国家,必须继续以建设性的方式与世界合作,以促进共同繁荣。

自 SEC 成立以来,我们的规则就为进入美国资本市场的外国公司提供了特殊便利安排。这些安排承认美国公司与外国公司之间在商业与市场实践、会计准则、公司治理要求等方面的差异。但同时,SEC 也始终重视并确保美国投资者能够获取足够的信息,并了解这些信息在公司本国法律框架下的披露程度。

1983 年,SEC 建立了目前标准的基础,用以判定哪些外国公司可以享受这些便利。自那以后,SEC 不断根据全球市场的变化重新评估并更新该标准,以更好地保护美国投资者。在我担任主席后的首批行动之一,就是要求委员会批准发布一份概念性公告,征求公众意见,以确定该标准是否应根据金融市场和公司法律结构的演变进行更新。

这份公告寻求公众意见,讨论外国公司在美国上市时,是否应满足额外条件——例如最低境外交易量,或必须在主要外国交易所上市——方可获得美国公司无法享受的便利。

需要明确的是,SEC 欢迎那些寻求进入美国资本市场的外国公司。这一公告并非意味着 SEC 有意打击或劝阻这些企业在美国交易所上市。相反,我们的目标是更好地理解过去二十年间外国公司在美国上市所带来的变化,对美国投资者和市场会带来的影响。值得注意的变化包括:

· 在SEC备案的外国公司构成发生了变化;

· 越来越多的公司选择注册在开曼群岛等与实际总部、运营地点、治理框架不同的司法辖区,这些司法辖区受涉及股东利益的治理框架的约束。

这些情况影响了股东利益。面对这些变化,SEC 最初为所有外国公司无条件提供便利的理由,是否依然成立?还是应该更新规则?对既有规则进行回顾性评估,确保其仍能实现既定政策目标,这是有效监管议程的重要特征之一。

虽然正式的公众意见征集期已于本周一结束,但 SEC 当然仍会考虑在截止日期后收到的意见,以评估是否需要提出规则修订。我期待审阅这些反馈。


高质量会计准则

当我们重新审视应享受便利的外国发行人类型时,也不能忽视有效监管制度的基石:高质量的会计准则和财务重要性。

在会计准则方面,美国公司必须依据美国公认会计原则(U.S. GAAP)编制财务报表。在我 2007 年担任 SEC 委员期间,我投票支持了一项规则修订,允许外国公司直接采用国际会计准则理事会(IASB)发布的国际财务报告准则(IFRS)编制财务报表,而无需与 U.S. GAAP 进行调节。

当时,SEC 在取消调节要求时指出:「IASB 的可持续性、治理与独立运作能力,是我们取消调节要求的重要考量,因为这些因素关系到 IASB 能否持续制定高质量、全球接受的准则。」SEC 还特别提到国际会计准则委员会基金会(IASC Foundation,IFRS 基金会的前身)能否获得「稳定的资金」来支持 IASB。

2021 年,IFRS 基金会宣布成立国际可持续准则理事会(ISSB),并由基金会受托人负责确保 IASB 和 ISSB 的资金安全。这一新扩展的职责不能使基金会偏离其长期核心任务——即保障 IASB 的资金稳定。反过来,IASB 必须专注于推动高质量的财务会计准则,确保财务报告的可靠性,而不是被用作达成政治或社会议程的「后门」。可靠的财务报告对资本配置决策至关重要。我们都高度关切 IASB 能否获得充分且稳定的资金支持,并保持有效运作。我也敦促 IFRS 基金会履行「稳定资金」的目标,把 IASB 的财务会计准则制定作为首要任务,而非转向牵强或投机性议题。

如果IASB未能获得完整、稳定的资金,那么 SEC 在 2007 年取消调节要求的前提之一可能不再成立,我们可能需要对这一决定进行回顾性审查。


财务重要性

除了高质量的会计准则,基于财务重要性的监管同样是实现资本高效流动的支柱。所谓「财务重要性」,意味着信息披露要求、公司治理标准及其他监管措施应当聚焦于投资者的利益。毕竟,正是投资者提供了推动企业产品、服务和就业所需的资本。相比之下,「双重重要性」的监管框架则同时考虑其他的非财务因素。

在欧盟,近期通过的两项法律——《企业可持续报告指令》(CSRD)和《企业可持续尽职调查指令》(CSDDD)——推动了双重重要性监管框架的完善。这些法律同样影响在欧盟开展业务的美国公司。

我对这些法律的高度规范化以及其对美国企业造成的负担表示担忧,因为这些成本可能最终转嫁给美国投资者和消费者。近期欧盟承诺,这些法律不会对跨大西洋贸易构成不当限制,并努力精简和简化这些法律。这使我感到鼓舞,但仍有必要进一步聚焦于财务重要性原则,而非双重重要性。实际上,欧洲若要通过吸引更多企业与投资来推动资本市场发展,应当着眼于减少发行人的不必要报告负担,而不是追求与企业经济成功及股东福祉无关的目标。


加密计划(Project Crypto)

当我们呼吁合作伙伴在其辖区内增强投资者信心、推动市场活力时,同样的优先事项也促使我们在美国释放数字资产的潜力。

正如我今天早些时候提到的,上世纪 80 年代末,我曾在距离我们现在开会地点约四公里的协和广场工作。当时,我完全想不到,有朝一日我会以今天的身份回到这里,谈论那些曾经被否定甚至抵制,但如今正在革新全球金融的新技术。在这里,离雨果大道仅几步之遥,我不禁想到维克多·雨果的名言:「可以抵御军队的入侵,却无法抵御时机已到的思想入侵。」

女士们,先生们,今天我们必须承认:加密的时代已经到来。

长期以来,SEC 将调查、传票与执法权力武器化,用来扼杀加密行业。这种做法不仅无效,还造成伤害——它迫使就业、创新与资本外流。美国创业者首当其冲,被迫将大笔资金花在法律防御而非业务建设上。这一篇章,已经成为历史。

如今,SEC 迎来了新的一天。政策将不再由临时的执法行动所决定。我们将提供清晰、可预测的道路规则,帮助创新者在美国蓬勃发展。特朗普总统已指派我和政府其他部门的同僚,把美国建设成全球加密之都——而总统数字资产市场工作组已制定了雄心勃勃的蓝图,指导我们开展相关工作。

在国会起草全面立法的同时,工作组已指示美国监管机构迅速行动,推进我们过时的规则体系现代化。SEC 正通过「加密计划」(Project Crypto)来落实这一任务,这是一次全面改革证券规则的行动,旨在更新证券规则和法规,使我们的市场能够迁移上链(on-chain)。我们的优先事项十分明确:

· 必须为加密资产的证券属性提供确定性。绝大多数加密代币不是证券,我们将划清界限。

· 必须确保创业者能在链上筹资,而无需面对无尽的法律不确定性。

· 必须允许「超级应用(super-app)」型的交易平台进行创新,让市场参与者有更多选择。这些平台应该能在单一监管框架下同时提供交易、借贷与质押服务。

· 投资者、顾问及经纪商也应有自由选择多元托管方案的权利。

与此同时,根据近期工作组报告,SEC 将与其他机构合作,确保平台能够在单一监管框架下提供加密资产(无论是否为证券)的交易、质押与借贷服务。我认为,监管应当提供保护投资者所需的「最低有效剂量」的监管,且不应该比这更多。我们不应让创业者背负重复的繁文缛节,那只会让最大的既有企业独享优势。通过释放场所和产品竞争,我们可以帮助美国公司在全球舞台上公平竞争。

正如特朗普总统所言,美国是一个「建设者的国家」。在我担任主席期间,SEC 将鼓励建设者,而不是用繁文缛节扼杀他们。我们的目标很简单:在美国土地上引爆金融创新的黄金时代。无论是代币化的股票账本,还是全新的资产类别,我们都希望这些突破诞生在美国市场,在美国的监管之下,并最终惠及美国投资者。


与国际伙伴的合作机会

当然,当我们与国际伙伴战略合作时,这些目标才能得到最大程度的实现。只有在资本自由流向最具生产力的用途时,市场才能繁荣。而公共区块链本质上具有全球性,为实现支付和资本市场基础设施的现代化提供了难得的机会。通过合作,美欧不仅可以加强各自的经济,还能强化跨大西洋伙伴关系。

值得称赞的是,欧洲早早走在了前列。正如《数字资产市场报告》所指出的,欧盟的《加密资产市场条例》(MiCA)堪称一个全面的数字资产监管框架。一些欧洲政策制定者已经呼吁制定「MiCA 2」,以涵盖去中心化金融、非同质化代币(NFT)和数字资产借贷。我赞赏我们欧洲盟友在首次尝试监管清晰化上的远见,并认为美国必须从中学习并汲取经验。

其潜在益处巨大:更快速的市场、更低廉的成本,以及更广泛的投资策略获取渠道,这些策略曾经仅限于华尔街大型机构。通过将 AI 与区块链结合,我们可以赋能个人、强化竞争,并解锁新的繁荣。

在这一方面,政府的职责是确保常识性防护措施的建立,同时清除阻碍创新的监管壁垒。AI 已经进入资本市场,而且其作用只会日益增长。我们必须抵制因恐惧而过度反应的诱惑。链上资本市场与代理金融即将问世,全球都聚焦于此。摆在我们面前的选择既简单又深远:要么美国带着信心和决心向前迈进,要么由他人取而代之。而我选择领导、自由与增长——为了我们的市场、我们的经济和下一代。并且,我也渴望与国际伙伴共同推进这一目标,为建设一个更加繁荣与自由的社会而努力。
