几个世纪以来,我们的市场从未停滞不前。它们随着当代的理念与技术而扩展、演化、重塑。市场之所以充满活力,正是因为有人的参与。市场引导人类的创造力投向社会最棘手的问题,并通过激励机制回报那些开发出最有价值、最受欢迎解决方案的人。这正是亚当·斯密所言「看不见的手」的运行机制:即便人们追求自身利益,市场也能将之引导至服务公共利益的方向。

SEC 的职责,就是保护这样一个市场:让人类的创造力和技能能造福社会。在其历史进程中,SEC 既曾促进过创新,也遗憾地扼杀过创新。幸运的是,前进的力量终将胜出。当我们的监管姿态能以审慎而非恐惧的态度迎接创新,美国的领导地位也总是更上一层楼。

20 世纪 60 年代——那时我尚未参与其中——华尔街正处于牛市,但幕后的市场运作却频频吃紧。大多数清算和结算事务仍需依赖昂贵又繁琐的流程。纸质股票证书堆积如山,必须由职员用推车运送,在华尔街及美国各地金融中心来回奔波。

这种纸质化的清算与结算体系是为一个更温和的年代设计的,显然已经难以承载急剧增长的交易量。某一家公司处理延迟,会拖累整个链条;证券遗失、遭窃的情况频频发生;交易失败大幅上升;一些资本较弱的券商甚至因交易中断而面临破产。无奈之下,交易时间被缩短,交易所甚至在每周三停市,只为让公司有时间处理堆积如山的纸质证书。

时任 SEC 主席形容这场系统性崩溃是「40 年来证券业最为严重且持久的危机 …… 公司破产、投资者信心骤降。」值得肯定的是,SEC 当时积极应对,推动市场参与方建立了今时今日我们所熟知的美国存管信托与清算公司(DTCC),彻底改变了证券的持有与交易方式。

此后,不再需要纸质证书在客户与券商、券商与券商之间流转。证券所有权开始以电子账本记账的方式完成。证书本身被「冻结」,安全保管于金库之中,而所有权通过电脑系统转移,为今天的清算与结算系统奠定了基础。

像我身边这台电传打字机(ticker tape)一样,它曾是当时市场信息传播的一项突破,让美国人能一行行地实时接收交易信息。但创新不应只是过去的辉煌。

到了 1990 年代后期,电子交易系统风靡,动摇了传统市场结构的许多假设。彼时的 SEC 主席 Arthur Levitt 同样认为,SEC 有责任为电子市场的创新提供监管弹性。于是,在 1999 年推出的《另类交易系统条例》(Reg ATS),允许这些系统以券商的身份进行监管,而非传统交易所。

这将我们带到今天 —— 一个需要美国雄心壮志的时刻,一个可以释放这种雄心的项目。

我们的监管框架不应被固定在模拟时代,拒绝探索新前沿。毕竟,未来正在加速到来,世界也不会等待我们。美国不能只是赶上数字资产革命的脚步,我们必须引领它。

开创未来:美国在金融黄金时代的领导地位

今天,我想向世界宣告,在我领导下,SEC 不会袖手旁观,看着创新在海外蓬勃发展,而我们自己的资本市场却停滞不前。要实现特朗普总统将美国打造为全球加密之都的愿景,SEC 必须从整体上考虑,将我们的市场从链下迁移至链上的潜在益处与风险。

我们正站在资本市场历史的新门槛上。如我前文所述,今天我正式宣布启动「加密计划」,这是一项覆盖整个 SEC 的倡议,旨在现代化证券法规,使美国的金融市场能够全面迁移至链上。

就在几周前,特朗普总统签署了《GENIUS 法案》,为稳定币设立了全球支付领域的黄金监管标准。签署后,他公开支持国会在年内通过加密市场结构立法。我赞赏众议院在这一进程中展现出的跨党派支持,并期待参议院在此基础上进一步完善相关法律,为我们的市场建立起抵御监管滥权的制度结构,巩固美国在全球加密产业中的主导地位。

昨日,总统数字资产市场工作组发布了《PWG 报告》,为 SEC 及其他联邦机构提供了明确建议,旨在建立一套框架以维持美国在加密资产市场中的领导地位。这份报告是一份蓝图,意在确保美国在区块链与加密技术领域处于领先地位。正如总统上周所说,他希望「全世界都运行在美国技术的基础设施之上」。我已准备好助其实现这一目标。

因此,我启动了加密计划,并指示 SEC 的政策部门与由 Peirce 委员领导的加密工作小组密切合作,迅速制定实施《PWG 报告》建议的方案。加密计划将确保美国继续成为世界上最适合创业、开发前沿科技、参与资本市场的国家。我们将把曾因上届政府的「以执法代替监管」政策和「第二版切断渠道行动(Operation Chokepoint 2.0)」而逃离美国的加密企业重新带回国内。无论是老牌企业还是新入场者,SEC 都欢迎那些渴望创新的市场参与者。

将加密资产带回美国:SEC 的新时代

加密计划将涵盖 SEC 内部的一系列举措。

首先,我们将致力于让加密资产的发行重回美国。那些复杂的离岸公司结构、伪去中心化的表演,以及关于加密资产是否属于证券的混乱,将成为过去。特朗普总统已经表明,美国正处于其「黄金时代」——而在我们的新议程下,加密资产经济也将步入黄金时代。

根据《PWG 报告》的建议,我的首要任务之一是在美国尽快建立起一个适用于加密资产发行的监管框架。资本形成是 SEC 使命的核心之一,但长久以来,SEC 忽视了市场对选择的需求,并对基于加密的融资模式形成了打压。这导致加密市场逐渐远离资产发行,美国投资者被剥夺了通过这一技术参与到有生产性的经济活动中的机会。SEC 长期以来对加密资产采取回避态度,「先开枪后提问」的方式,应该成为历史。

尽管 SEC 过去的立场是将多数加密资产视为证券,但实际上,大多数加密资产并非证券。然而,由于「Howey 测试」的适用范围含糊,一些创新者为了保险起见,将所有加密资产都当作证券处理。美国的创业者正在利用区块链技术,推动各类传统系统与工具的现代化。比如,俄亥俄州现任联邦参议员、前企业家 Bernie Moreno,在竞选前创立了一家将汽车产权证上链的公司。他看到了产权转移中的效率问题,并以区块链技术提出了实用的解决方案。

这些创业者需要、也应当拥有一套清晰的判断标准,帮助他们判定其业务是否受证券法约束。我已指示委员会工作人员制定明确的指南,便于市场参与者判断一项加密资产是否属于证券或是否构成投资合约。我们的目标,是帮助他们根据这些明确标准,将加密资产归类,比如数字藏品、数字商品或稳定币,并评估其交易的经济实质。通过这些分类,市场参与者可以判断发行方是否存在持续承诺或义务,进而判断该资产是否构成投资合约。

此外,被认定为证券不应成为发展的原罪。我们需要一个适应加密证券的监管框架,使这些产品能在美国市场内蓬勃发展。许多发行方会倾向于利用证券法所提供的产品设计灵活性,投资者也将从分红、投票权等证券属性中受益。项目方不应被迫在非理想阶段就设立 DAO、创建离岸基金会,或早早去中心化。我对加密证券在商业中的新应用感到振奋,例如通过代币化股票参与区块链共识机制等。

因此,对于那些确实属于证券法范畴的加密资产交易,我已要求工作人员提出专门的披露规定、豁免条款和「安全港」制度,包括针对所谓的「首次代币发行(ICO)」、「空投」和网络奖励计划等。我们的目标,是让发行方不再因法律风险而排除美国用户,而是选择将美国用户纳入发行计划,以享受法律确定性和友好的监管环境。我相信,只要我们坚持这一方向,就有可能迎来一场创新的寒武纪大爆发。

此外,许多公司希望将普通股、债券、合伙权益等证券进行「代币化」,或者代币化他方发行的证券。由于美国监管障碍,这类创新大多发生在海外。同时,我们政策部门也接到很多申请——从华尔街耳熟能详的公司,到硅谷的独角兽企业——它们都希望获得批准在美国境内分发证券代币。我已要求委员会与这些公司合作,在合适情形下提供监管豁免,确保美国不被甩在加密创新的身后。

增强自由:提供多样化托管与交易场所选择

第二,若要实现总统的目标,SEC 必须确保市场参与者在选择托管和交易平台时拥有最大限度的自由。正如我曾指出,拥有和自主管理私有财产的权利是美国核心价值之一。我坚信,个人有权使用自托管钱包来持有其加密资产,并参与链上活动,如质押等。然而,部分投资者仍会选择将资产托付给经 SEC 注册的中介机构,如券商或投资顾问,而这些机构在提供托管服务时需承担额外监管要求。

在我的任期内,落实《PWG 报告》关于「现代化 SEC 对注册中介机构托管义务」的建议将是一项优先事项。前一届政府推行的「特殊目的券商框架」、SAB 121 文件,以及「切断渠道行动 2.0」,导致如今市场上几乎没有合规的加密资产托管服务提供者。现有托管规定并未考虑加密资产特性。我已指示工作人员研究如何对现行制度进行适配,包括必要时提供豁免或修改规则,以促进加密资产托管服务的发展。

《PWG 报告》同时建议,应允许市场参与者在最有效的许可结构下开展多线业务。我们不能强迫他们被嵌入一个不合时宜的「普罗克拉斯提斯之床」式监管体系。我支持允许他们在保障投资者利益的前提下,自由选择最适合其业务的监管路径。

推动超级应用:实现产品与服务的横向整合

第三,我担任主席的另一项重要目标,是允许市场参与者在「超级应用(Super-Apps)」框架下进行创新。很多人问我:「什么是超级应用?」很简单:证券中介机构应能在一个平台、一张牌照下,提供多样化的产品与服务。一家拥有替代交易系统(ATS)的券商,应能同时提供非证券类加密资产交易、证券类加密资产交易、传统证券服务,以及质押、借贷等服务,而无需申请超过五十个州的牌照,或多张联邦级执照。

目前联邦证券法并不禁止注册交易平台上线非证券资产。我已指示委员会员工制定进一步的指导和方案,推动这类「超级应用」落地。也许最终我们会把它命名为「Reg Super-App」。

根据《PWG 报告》建议,SEC 应与其他监管机构协作,为注册中介建立最简洁高效的许可制度,避免让它们同时受多重监管。这种模式在银行业已被广泛采纳,例如银行普遍无需额外注册为券商或清算机构。监管机构应尽可能以最低必要剂量提供监管,保护投资者同时激励企业成长。我们不应用过度、家长式的监管把企业逼到海外,也不能让监管负担偏袒资源丰富的大公司,从而扼杀中小企业的竞争力。

根据《PWG 报告》的具体建议,我已指示委员会制定一套框架,使非证券类加密资产与证券类加密资产可以在同一 SEC 监管平台上并行交易。此外,我已要求评估如何运用委员会的权力,允许某些加密资产在非 SEC 注册交易平台上线。这样不仅能让州许可平台提供更多资产,也将为 CFTC 监管的平台提供保证金功能,尽管国会尚未给予其额外权限,这将释放出更大的流动性。

释放美国市场潜力:美丽强大的链上软件系统

第四,我已指示委员会工作人员更新那些陈旧的监管规则,以释放链上软件系统在美国证券市场中的潜力。链上软件形式多样——其中一些系统是真正去中心化的,不依赖任何中介运营;另一些则由特定运营方维护。无论是哪种形式,都应在我们的金融市场中拥有一席之地。

任何关于加密资产的市场结构监管框架,都必须为不依赖中心化中介的链上软件开发者提供明确路径。去中心化金融(DeFi)软件系统——例如自动化做市商(AMM)——能实现自动化、非中介的金融市场活动。美国联邦证券法一贯假设市场中存在需监管的中介机构,但这并不意味着我们应强行引入中介,只为迎合旧有监管逻辑。若市场本身能够无中介运作,我们应予以尊重。

我们将为这两种模式——中心化与去中心化——在美国市场中各自的发展留出空间。我们将保护那些单纯发布软件代码的开发者,合理划清中介参与与非中介活动之间的界限,并为那些希望运营链上软件系统的中介机构制定清晰、可行的监管规则。DeFi 及其他链上软件系统将成为我们证券市场的一部分,而非被冗余或过度的监管所扼杀。

为了实现这一愿景,我们需要修改现有规则。例如,若要支持证券的链上交易,我们可能需修订《全国市场系统法规》(Reg NMS)。事实上,早在二十年前我就曾与时任委员 Cynthia Glassman 联合撰写反对 Reg NMS 的异议意见,而今天看来,当年的担忧更具现实意义。过去二十年里,Reg NMS 所施加的过度要求扭曲了市场活动,阻碍了美国证券市场的自然演进。国会当年设想的,是让「竞争力量而非多余监管」主导全国市场系统的发展。我将努力推动我们回归这一初衷,进一步促进市场中的创新与竞争。

推动创新:商业可行性是我们的北极星

最后,创新与企业家精神是美国经济的引擎。特朗普总统曾称美国为「建设者之国」。在我领导下,SEC 将鼓励这一精神,而不是用繁文缛节与一刀切的规则加以压制。当前委员会正在积极考虑一些业界提出的改革建议,以激发创新活力;同时,我们也在探讨引入「创新豁免机制」——使注册与非注册机构可以快速将新商业模式和服务推向市场,即使这些模式与现有规则不完全匹配。

在我的设想下,这一创新豁免机制将允许技术先锋与商业创想者立刻参与市场,而无需遵守那些不合时宜或阻碍经济活动的繁琐规定。相应地,他们将需要遵守一些基于原则的条件,以实现联邦证券法的核心政策目标。这些条件可能包括:定期向 SEC 报告的承诺、引入白名单或「认证池」功能,以及仅允许符合合规功能标准(如 ERC3643)的证券代币进行流通。我鼓励市场参与者与 SEC 员工在制定模型时,都将「商业可行性」作为核心考量。

在推进上述各项优先事项的同时,我期待与政府其他部门协作,共同努力将美国打造为全球加密之都。这不仅是一场监管模式的转型,更是一场跨世代的机遇。
