SanDisk just delivered a "Investor Day" report card that impressed Wall Street, releasing a series of long-term financial targets and capital return plans far exceeding market expectations, causing its stock price to surge nearly 14% on the day.
According to Zhui Feng Trading Desk, Goldman Sachs noted in a research report on August 13 that SanDisk not only provided long-term financial guidance far exceeding market expectations (80% gross margin, 75% operating margin) but also made a significant commitment to return 100% of excess free cash flow to shareholders. Furthermore, its next-generation HBF (High Bandwidth Flash) technology roadmap for AI inference presents substantial upside potential for the company.
Goldman Sachs reiterated its "Buy" rating on SanDisk, setting a 12-month target price as high as $2200 (based on a 20x price-to-earnings ratio on normalized earnings per share of $110), implying approximately 44% upside from the current stock price of $1528.
Meanwhile, Goldman Sachs also pointed out that whether long-term customer agreements (Non-Binding Master Agreements - NBM) can truly smooth out industry cyclical volatility still requires time to verify and is difficult to fully reflect in valuation multiples in the short term. However, with limited supply growth in the NAND market recently and continuous optimization of the product mix, Goldman Sachs' buy thesis on SanDisk remains solid.
Long-Term Financial Guidance Far Exceeds Expectations: FY28-30 Gross Margin 80%, Operating Margin 75%
The most shocking part of this Investor Day was the long-term financial model SanDisk presented for FY28-30:
Revenue Growth: Mid-to-high teens percentage.
Gross Margin: 80%

Adjusted Free Cash Flow Margin: Approximately 50%
Capital Expenditure Intensity: Mid-single digits as a percentage of revenue.
Goldman Sachs explicitly stated that the above guidance "far exceeded investor expectations" and was the core driver behind the stock's 15% surge on the day.
The key mechanism underpinning these financial targets is the Non-Binding Master Agreements (NBM) framework implemented by SanDisk. The core features of this framework include:
Weighted average contract term of four years, providing stronger revenue visibility;
Recent adoption of fixed pricing, with forward price floors and ceilings set to balance stability and flexibility;
Gross margin can still reach 80% even at the contract floor price, demonstrating highly attractive economics.
Currently, SanDisk has disclosed total contract value (TCV) of approximately $94 billion (including remaining performance obligations (RPO) of about $91 billion) and has provided financial guarantees of approximately $16.5 billion to 8 customers (including 3 US hyperscale cloud providers).
The company also reaffirmed that approximately 50%/67% of its planned shipment volume for FY27/FY28 is already covered by NBM agreements, providing a solid foundation for the financial targets.
Industry-Leading Capital Return Policy: $15.5 Billion Remaining Repurchase Authorization, 100% of Excess Cash Flow Returned to Shareholders
At the Investor Day, SanDisk clarified its three capital allocation priorities:
Continuously invest in the business to maintain technological leadership;
Maintain a strong balance sheet with zero debt and ample cash, and continuously improve credit ratings;
Return 100% of excess free cash flow (i.e., free cash flow remaining after reinvesting in the business) to shareholders, primarily through share repurchases.
Regarding specific repurchase authorizations: the company's board previously authorized a $6 billion repurchase program, of which approximately $4.5 billion has been executed; subsequently, an additional $14 billion was authorized, resulting in a total remaining repurchase capacity of approximately $15.5 billion.
Goldman Sachs noted that this scale of capital return "far exceeds announcements made by peers to date" and holds strong appeal for investors focused on shareholder returns.
Exceptional Manufacturing Efficiency: 29% Bit Output with 13% of Industry Capex
Goldman Sachs reported that SanDisk emphasized its core competitive advantage in manufacturing at the Investor Day—through its joint venture with Kioxia (JV agreement extended to 2034), it controls the complete manufacturing technology stack and intellectual property.
Key figures are impressive:
Between 2021-2025, SanDisk/Kioxia accounted for only 13% of industry capital expenditure but contributed 29% of industry bit output, with capital efficiency far exceeding the industry average.
The capital required for the overall industry to add a unit of exabyte output is approximately 2.7 times that of SanDisk's level in CY25.
Looking ahead, the company expects to support mid-teens percentage bit output growth while maintaining capital expenditure intensity in the mid-single digits as a percentage of revenue by further increasing die-per-wafer, improving production efficiency, and utilizing equipment and cleanroom capacity more effectively.
HBF Technology: A "Memory Wall" Breaker for AI Inference, Offering Significant Upside Option
Goldman Sachs views SanDisk's HBF (High Bandwidth Flash) technology as the most strategically imaginative highlight of this Investor Day.
Technical Background: As context lengths and inference chains in AI inference tasks continue to extend (especially in agent AI workloads), the demand for memory bandwidth is skyrocketing. Traditional HBM (High Bandwidth Memory, based on DRAM) faces capacity bottlenecks and high cost pressures.
HBF's Core Value Proposition:
Provides read bandwidth comparable to HBM, while offering 8 to 16 times the capacity of HBM.
In SanDisk's own simulation tests, a pure HBF architecture required only half the number of GPUs as a pure HBM architecture to achieve the same token output, significantly improving GPU and capital expenditure efficiency.
Management positions KV Cache as the "working memory" for the decoding phase in AI inference, estimating that by 2032, KV Cache will account for approximately 35% of the ~1.2 zettabyte (ZB) total addressable market (TAM) for AI data centers.
Product Progress: The first HBF memory product has completed tape-out, with initial samples expected in 2027.
Goldman Sachs believes HBF technology provides SanDisk with an additional upside option beyond its core NAND business, but it is still in its early stages and not fully reflected in the valuation.
