那个熟悉的香港,又回来了!

一度被称为“金融废墟”的香港,如今用短短一年时间,完成了惊人的逆袭。

港股市场热潮涌动,半年内 43 只新股上市,募资额达 1067.1 亿港元,重回全球 IPO 募资榜首。宁德时代、恒瑞医药等巨头扎堆登陆,泡泡玛特、蜜雪冰城、老铺黄金轮番点燃消费股牛市。

与资本市场一同复苏的,还有数字资产的浪潮。

5 月,香港通过《稳定币条例》,为稳定币发行建立发牌制度,将于 8 月 1 日正式生效。

6 月,特区政府发布《数字资产政策宣言 2.0》,为稳定币与真实世界资产(RWA)的发展铺平了道路。而就在今天,香港理工大学与蚂蚁数科签约共建 AI+Web3 联合实验室的举动,为这场复苏添上最新注脚

在中环的咖啡厅里,曾经熟悉的场景又出现了:一边是投行精英兴奋地聊着港股、美股的投资机会,另一边是创业者和律师在热烈讨论稳定币和 RWA 发行、跨境结算。

咖啡香气中夹杂着各种金融术语,仿佛又回到了那个活力四射的香港黄金年代。

在“链上香港”时代,属于创业者的机会在哪里?

数字资产政策宣言2.0

继 2022 年 10 月,香港特区政府发布首份政策宣言后,6 月 26 日,《香港数字资产发展政策宣言 2.0》正式问世,再度明确要将香港打造为全球数字资产创新中心。

特别值得注意的是,新版宣言将“虚拟资产”一词升级为“数字资产”,不仅仅是单纯字面上的转变,意味着监管视野不只局限于比特币、以太坊等加密货币和稳定币,更涵盖了与现实世界资产紧密挂钩的代币形式,也就是最近被广泛关注的 RWA(真实世界资产)。

为了更清晰地表达政策愿景,香港特区政府在新版宣言中特别采用了一个颇具动感的英文缩写“LEAP”,代表着四大战略支柱——法律监管优化(Legal & Regulatory)、代币化产品扩展(Expanding tokenised products)、实际应用推进(Advancing use cases & collaboration)以及人才与合作(People & Partnership)。

在法律与监管方面,香港将由证监会牵头建立统一的监管体系,涵盖数字资产交易平台、托管服务、稳定币等关键领域;同时,财库局与金管局也将推动法律改革,以支持实物资产如债券和黄金在链上的登记、结算和发行。

在代币化产品领域,政府明确提出要将政府债券的代币化变成“常态化操作”,并对 ETF 代币化产品提供印花税优惠,除此之外,政策也鼓励贵金属(例如黄金)、有色金属、甚至可再生能源(例如太阳能设备)等各类现实资产代币化。

而在实际落地应用方面,此次政策宣言明确了一个关键时间点:从 8 月 1 日起,稳定币发行人可正式申请牌照,政府还特别鼓励稳定币在支付、跨境结算等实际业务场景中进行应用试点,并设立专项基金支持区块链项目落地。

在“链上香港 2.0”生态圆桌活动上,蚂蚁集团副总裁、蚂蚁数科区块链业务总裁边卓群指出:“新政我看到了三个关键词:数字资产、法律框架、基础设施。我们科技的基础设施如果有了这样的一个大的合规框架,然后引进更多的一些资产,包括产业资产、金融资产,基于我们自己先进的领先的技术本身,然后形成一个新的数字资产交易所,从而能够把全球优秀的资产和资金汇聚到香港。”

国泰君安国际行政总裁齐海英指出,新版宣言在监管框架、市场机制和税收优惠三个维度均做到了全球领先。她特别提及稳定币与 RWA 作为数字资产的“双支柱”,体现出香港监管机构的前瞻性与包容度。

稳定币与RWA,机会在哪儿?

来自深圳的连续创业者李远最近频繁往返于深圳与香港之间。

他过去曾经营一家制造业公司,如今涉足新能源充电桩领域,并开始探索 RWA。在港府发布《政策宣言 2.0》后,他迅速着手研究其中的每一项表述,试图找出属于自己的那一寸“跑道”。

在诸多政策中,他最为关注的,无疑是有关“稳定币”与“RWA”(现实世界资产)结合的部分。

“稳定币的发行是巨头们的游戏,但场景落地才是普通创业者的机会。”李远说。

在他看来,稳定币作为媒介、RWA 作为载体,意味着中国的产业资产,尤其是目前面临产能压力的绿色能源、基建等板块,有机会通过“链上出海”的方式,触达全球。他甚至把 RWA 比作“新一轮的中国资产出海”,一个以区块链技术为支撑,以稳定币为通道的新出口体系。

这种思路,也正在成为一种共识。

华夏基金香港首席执行官甘添表示:“未来 5 到 10 年,传统金融资产都会走向链上,RWA 将解决当前市场的痛点,香港将发挥引领作用,重新定义全球资产流通格局。”

这一政策导向,在香港的政策文件中已有清晰表述,多处内容鼓励现实世界资产的代币化,并特别提及新能源领域:

“我们积极鼓励创新应用场景,包括代币化传统金融产品(如货币市场基金及其他基金)以及现实世界资产(如电动车充电站)的收益流。”

“政府将加大力度拓展代币化方案,……包括贵金属(如黄金)、有色金属及可再生能源(如太阳能板)等的多元应用。”

在这一领域,能源企业协鑫集团的副董事长费智有着切身的观察体会。他指出,光伏资产具备合法合规、现金流清晰、产权明确且符合 ESG 标准等特性,是最具代表性的“链上资产”类型。通过 RWA,这些绿色资产可以为稳定币提供坚实的价值支撑。

香港中华煤气首席财务官杨磊明也指出,RWA 不仅能帮助能源企业对固定收益类资产进行代币化管理,提升资产流通效率,配合稳定币的国际结算功能,更有望拓展全球贸易版图。

在新能源 RWA 的实践上,蚂蚁数科走在了行业前列。

自 2024 年 8 月以来,蚂蚁数科已先后与多家新能源企业合作,将充电桩、户用光伏等资产上链,转化为可交易的 RWA 资产。

首个项目便在香港落地,携手朗新科技,以旗下约 9000 座充电桩为基础资产,完成了约 1 亿元人民币的融资。此后,2024 年 12 月,蚂蚁与协鑫能科合作,推出了国内首单光伏绿色资产 RWA 项目,融资额超过 2 亿元人民币。2025 年 3 月,又与巡鹰集团合作,将换电柜与锂电池资产进行链上通证化,涉及资金规模达数千万港元。

在香港金管局主导的 Ensemble 沙盒计划中,蚂蚁数科已通过区块链 + IoT 技术连接超过 1,500 万台能源设备,打造出全球最大的新能源链上资产平台。

当发电资产、储能系统与绿色金融工具被逐步通证化,跨境流通的链上金融生态已悄然成型。未来,新能源 RWA 有望衍生出信用产品、金融衍生品、碳资产交易,构建以电力资产为锚的全球数字金融体系。

中国资产,香港上链

对李远来说,香港不只是一个城市,更是一座通向全球的桥梁。

借助香港的法律体系、金融开放与国际化环境,他可以更高效地对接国际资本与合规机构,这正是数字资产时代“出海”的最佳通道。

随着《数字资产发展政策宣言 2.0》的发布,香港正从本地金融中心跃升为全球数字资产规则的制度输出地,打造稳定币和 RWA 的东方样本。

“我们将香港作为蚂蚁数科的海外总部,既辐射中东、欧洲,也服务中国企业出海,最终把资金和信任带回香港。”蚂蚁数科副总裁边卓群这样定义香港的战略角色。

事实上,香港在区块链基础设施建设上的积累并非短期行为。

自 2016 年起,香港便推动区块链技术在贸易融资、支付清算与虚拟资产监管中的应用,数码港的设立更为生态发展奠定了基础。进入 2020 年,港府先后推出虚拟银行牌照与《虚拟资产交易平台营运指引》,为数字资产交易提供清晰的监管路径。2023 年,“数码港元”项目启动,探索央行数字货币(CBDC)与代币化资产的协同效应。

2024 年,蚂蚁数科发布“两链一桥”RWA 平台,推动新能源资产在香港的上链与交易,朗新科技、协鑫能科、巡鹰集团成功在香港能源上链,完成跨境融资。

2025 年 6 月,《政策宣言 2.0 》发布后,蚂蚁数科同步开放 Layer 2 网络、大模型工具、区块链 + IoT 架构与机构级 Web3 钱包。7 月,和香港理工大学达成战略合作,围绕 AI 和 Web3 技术,打造全球科技创新策源地。

可以说,香港已经成为中国新能源资产“上链—融资—交易—跨境流通”的先行示范区。

对于像李远这样的内地创业者来说,香港不再只是传统的融资中转站,而是能将自身技术与资产推向全球市场的桥头堡,“中国资产,香港上链,走向全球”或将成为中国创业者的新选择。
