7 月 21 日,美股市场再次迎来一个专注以太坊的上市公司主体。特殊目的收购公司(SPAC)Dynamix Corporation(NASDAQ: DYNX)宣布与 The Ether Reserve 及关联实体合并,组建新公司 The Ether Machine(股票代码将变更为“ETHM”)。若获股东批准并满足监管条件,合并计划于 2025 年第四季度完成。

据披露,The Ether Machine 定位为机构级以太坊生态投资平台,旨在为投资者提供透明安全的以太坊网络及 ETH 计息资产敞口。同时,该公司表示将以超 40 万枚 ETH 启动,超越当前持有 34.5 万枚 ETH 的 Sharplink,成为全球最大 ETH 持仓上市实体。The Ether Machine 初始资产储备包含两大来源:

  • 创始人 Andrew Keys 投入的 169, 984 枚 ETH(约合 6.45 亿美元)

  • Pantera Capital、Kraken、Blockchain.com、cyber•Fund、Electric Capital 等顶尖机构和战略投资者共超 8 亿美元的的普通股融资

The Ether Machine 业务介绍

根据创始人 Andrew Keys 所说,The Ether Machine 是其历时数年打造的项目,该项目将建立流动 ETH 储备并积极管理资产,以提供市场领先的收益,通过专有方法优化 ETH 的质押和再质押。因此 The Ether Machine 不是 ETH ETF、也不是被动型财政基金,而是一个“生产以太坊的机器”。具体而言,The Ether Machine 的目标有以下三个:

The Ether Machine 或许和你没关系

7 月 21 日 The Ether Machine 募资消息发出后,DYNX 股价并未有明显涨幅,或许是因为合并未完成且除了一纸公告外还没有实质的购买 ETH 动作。但若 The Ether Machine 真按计划实施 ETH 储备并为投资者带来 ETH 更大的收益敞口,那么势必会搅动如今的 ETH 储备上市公司竞争市场。

笔者在此前阐述 SharpLink 叙事破产的文章中就提到,因 ETH 固有的生息属性和以太坊完善的 DeFi 生态,市场成熟后便不会再以“ETH 储备量”这个单一的标准来衡量一个 ETH 储备上市公司的价值,反而将看中公司对 ETH 资产的管理能力,ETH 储备公司会变成链下版本的 ETH 收益协议(推荐阅读《Sharplink 叙事泡泡破灭?ETH 版 Strategy 仍未决出》)

然而,这一切可能与你我无关。The Ether Machine 使命是为投资者提供能产生更大收益的 ETH 风险敞口,但问题是谁是定义中能获得收益的投资者?以当前公开披露的公司文件来看,这个角色恐怕只包含参与股权融资提供购买 ETH 资金的投资者,而可能不将包含二级市场中的持股人。

在链上经济中,DeFi 协议会将收益分给质押者或长期持币者,以此来奖励他们对项目的长期看好和缓解市场抛压。而在当前,所有以“ETH 生息”为基础的 ETH 储备上市公司均没有计划将 ETH 质押收益分配给持股人,而是自己独占。从贡献角度,ETH 储备上市公司大多采用了 ATM 市价发行股票方式筹集购买 ETH 的资金,而这些在二级市场上被高价出售的股票买盘都直接来自于二级投资者,持股人理应获得 ETH 储备的质押收益。

即使 The Ether Machine 在合并后完成了超 40 万枚 ETH 的购买,若后续要继续进行 ETH 购买,大概率也会走上股权融资或 ATM 市价发行的道路。希望到那时,作为所谓的公共以太坊生成公司,The Ether Machine 能够将 ETH 理财收益合理合法的分配给散户投资者。

但不管如何,The Ether Machine 的动作都得加速了,因为 ETH 已经开始有回调趋势,距离第四季度仍有 2 个月时间,到时市场若走向低迷,The Ether Machine 就错过了最好时机。

Telegram Introduces WEB-Proxy Technology: Masks Traffic as Regular Website Visits

Telegram has introduced a new experimental WEB-Proxy technology designed to circumvent blocking by disguising messenger traffic as regular, secure website visits. Announced on August 21, 2026, the technology routes MTProxy data through an in-app WebView using HTTPS or WebSocket transport, making the data stream indistinguishable from legitimate web surfing. The core innovation is a multiplexed stream sent through a single WebView session. It uses special frame formats to pack multiple logical Telegram connections into one encrypted channel that externally resembles loading a web page. A server-side relay receives this stream, separates it into individual connections for the standard MTProxy, without decrypting content or knowing final destinations, thus preserving privacy. The WEB-Proxy operates on a standard HTTPS domain that also hosts a public website. The proxy bridge page is only activated by a specific URL parameter derived via HMAC-SHA256 from the proxy configuration; all other requests receive the normal site homepage. Currently a proof-of-concept, the system includes a desktop implementation, an experimental Android client, and plans for iOS support. MiCA is coming for DeFi vaults, but regulation will be difficult
