Japan's SBI Securities, Rakuten Securities plan to offer crypto investment trusts

Two major Japanese securities firms plan to introduce cryptocurrency investment trusts once the Financial Services Agency finalizes the regulatory framework for such products, Nikkei Asia reported.

SBI Securities, the online brokerage business and investment banking unit of SBI Group, one of Japan’s largest financial companies and Rakuten Securities, the online broker subsidiary of Japan’s Rakuten Group internet conglomerate, will offer investment vehicles that allow customers to access crypto through their existing accounts. The products will make it easier for clients to gain exposure to the industry.

In a Nikkei survey of 18 companies, another 11 firms, including Nomura Securities, Daiwa Securities and Mizuho Securities, said they plan to consider entering the market when the regulatory process is finished.

The offerings will include exchange-traded funds (ETFs) and be developed by firms within the broader holding groups, the newspaper reported. Spot crypto ETFs were approved in the U.S. in January 2024, and those investing in bitcoin now hold more than $100 billion in net assets, according to SoSoValue data.

In early April, the Japanese government approved a draft amendment classifying cryptocurrencies as financial products under the Financial Instruments and Exchange Act, rather than treating them as payment tools. If passed by parliament, the law could take effect in fiscal 2027.

This case fits into a broader and increasingly aggressive enforcement posture from the DOJ. The focus has historically been on crypto mixers, those services that blend transactions together to obscure their origins. But the Andresen indictment signals something different. Prosecutors are now looking downstream at the people and businesses that convert crypto into physical assets.

Over-the-counter gold dealers who accept cryptocurrency often operate with minimal anti-money laundering (AML) and know-your-customer (KYC) oversight. That gap between crypto’s digital transparency and gold’s physical opacity is exactly where laundering thrives.

The DOJ’s approach suggests a rising enforcement risk for OTC gold dealers and other intermediaries facilitating crypto-to-bullion conversions.

Bitcoin’s public ledger means every transaction is permanently recorded. But the moment crypto leaves the digital world and enters the physical one, whether as cash, real estate, or gold bars, that chain of evidence gets murkier.

In addition, institutions such as Goldman Sachs and BlackRock have been accumulating Bitcoin. However, what exactly is Bitcoin? Why has it gained favor on Wall Street?
Bitcoin, abbreviated as BTC, is the world's first and largest cryptocurrency by market capitalization. Developed in 2009 by Satoshi Nakamoto, it is maintained collectively by miners worldwide. Much like gold, Bitcoin is a finite resource; its total supply is capped at 21 million coins, and no more will be issued once they are all mined.

Strictly speaking, 'Bitcoin' refers only to the public blockchain, while BTC is its native token. In other words, the former is the network and the latter is the currency. In layman's terms, if Bitcoin is viewed as a gaming world, BTC is the in-game currency that can be used to purchase various virtual items.

As the U.S. President announced the inclusion of Bitcoin in a national strategic reserve and plans to transform the U.S. into a global cryptocurrency hub, Wall Street's stance on Bitcoin has gradually shifted from "speculative exploration" to "institutionalized reserve." This has attracted top investment banks, hedge funds, and corporations to accumulate Bitcoin.

Japanese firm Metaplanet reports 251% revenue surge from Bitcoin options but faces ¥114.5B impairment loss and regulatory hurdles in preferred share issuance.
Metaplanet is rewriting its identity. The Japanese firm, once a straightforward holding company, is pivoting hard toward becoming a regulated Bitcoin infrastructure provider. That transformation is generating staggering operating income from options trading, but it is also colliding with Japan’s conservative capital market rules and the brutal math of cryptocurrency accounting.
The company’s core revenue engine is firing on all cylinders. Sales surged 251% year-on-year to about $19.5 million, with operating profit landing at $14.4 million. In yen terms, that operating profit hit roughly ¥2.27 billion, nearly quadrupling from a year earlier. The secret sauce is Bitcoin option premiums, which carry an extraordinary operating margin of 73.6%. Those earnings are then used to lower the effective purchase cost of new Bitcoin – a self-reinforcing loop that has attracted 250,000 shareholders, a fourfold increase in just twelve months.
Yet the headline numbers tell a jarringly different story. Under Japanese accounting standards, Metaplanet must mark its Bitcoin holdings to market at each reporting date. That created a non-cash impairment charge of about ¥114.5 billion, or roughly $725 million, dragging the bottom line into a deep net loss. The cash flow impact is zero, but on paper the loss is enormous.
The real headache sits in Tokyo’s boardroom. Metaplanet was forced to postpone its planned issuance of preferred shares. CEO Simon Gerovich cited the Japanese exchange’s stringent listing requirements, which demand a track record of stable cash flows across multiple market cycles.
