近日,Amber Group 旗下数字财富管理平台 Amber Premium 正式与美股上市公司 iClick Interactive 完成合并,合并后的公司更名为“Amber International Holding Limited”,并于昨日以新股票代码“AMBR”在纳斯达克开始交易。

AMBR 昨日收盘价为 11 美元,总成交额为 306 万美元,总市值为 9.6 亿美元。

除了 Amber Group 外,今年年初至今,还有比特币奖励金融服务公司 Fold Holdings(FLD)也在纳斯达克完成上市,Circle 也计划在今年完成 IPO。

还有多家加密公司正推进上市计划。上周据彭博社爆料,Gemini 已秘密 IPO 申请,正与高盛集团和花旗集团合作进行此次发行。而加密交易所 Kraken 正积极筹备于 2026 年第一季度进行 IPO。

特朗普上台后的加密友好环境,预计推动 2025 年成为加密“IPO”元年。

成立 8 年融资超 6 亿美元,Amber 终上市

早在 2021 年 10 月,Amber Group 的联合创始人兼 CEO Michael Wu 在接受《南华早报》采访时表示,正积极考虑在未来两年内上市,而首选地点是美国。

虽然比最早的预期上市时间稍晚,但 Amber Group 也终于如愿在美国完成合并上市。

此次参与合并上市的主体 Amber DWM,是 Amber Group 旗下数字财富管理业务 Amber Premium 的控股实体。Amber Premium 主要为高净值客户和机构提供资产管理方案。

Amber DWM 在合并前进行了资产重组,包括收购旗下交易所平台 WhaleFin Markets Limited 的全部股权等。据合并协议显示,Amber DWM 的股东将持有合并后公司约 90% 的股份,以及 97% 的投票权。

Amber Group 的联合创始人 Michael Wu 将在合并后公司 Amber International 担任董事会主席,提供战略方向。另一位联创 Wayne Huo 则被任命为首席执行官兼董事,负责公司日常运营。

作为老牌的加密资管公司,Amber Group 从 2017 年至今,产品矩阵庞大,核心业务主要是为高净值个人和机构提供定制化的数字财富管理服务,通过量化交易和专业策略帮助用户管理数字资产,以及做市服务和加密货币衍生品交易服务等。

据官网介绍,Amber Group 的累计交易量达到了 1 万亿美元,机构客户超 2000 多个。

具体到资产管理规模和收入方面,Amber Group 近两年很少有具体的财务数据披露。最新的公开数据还停留在 2022 年, 2022 年 Amber 称资产规模超过 50 亿美元, 2022 年上半年收入为 2.5 亿美元。

2020 年到 2022 年也是 Amber Group 快速拓展的一年,除了资产管理规模大幅上涨外,期间 Amber Group 累计完成了至少 4 轮融资,融资总额近 6.3 亿美元,投资方融合了淡马锡、红杉中国、Tiger Global、老虎证券等传统投资机构以及分布式资本、Pantera Capital、Paradigm、Coinbase Ventures 等Web3投资机构。

在 2022 年完成淡马锡领投的 2 亿美元 B 轮融资时估值已达到 30 亿美元。

但随后 FTX 暴雷,市场进入深熊,Amber Group 也迎来了大的调整期。

Amber Group 在 FTX 平台上被冻结金额约为 6000 万美元,虽然 Amber 称这部分资金只占其总交易资本的 10% ,并未造成太大影响。但市场仍然对 Amber Group 等资管平台产生了信任问题,某些特定产品因 FTX 违约而面临明显“回撤”。

Amber Group 不得不进行战略和组织调整,员工人数从高峰时的约 1100 人一度削减至 300 人左右,并暂停了元宇宙项目和 C 端业务。

Amber 原计划以 30 亿美元估值继续扩展 B+ 轮再融 1 亿美元,也因市场崩盘和公司内部调整,不得不转向 C 轮。Michael Wu 在接受彭博社采访时承认,C 轮估值低于 30 亿美元,但未透露具体数字。

或因市场的暴雷潮加密进入严监管时期,加上 Amber 自身业务受到波及,Amber Group 的 IPO 计划同样被延迟。

如今随着特朗普上台对加密监管的解绑,传统金融与加密金融的融合趋势下,对 Amber 来说是一个好的上市窗口。

通过上市,Amber Group 拥有更多的资金,也可以贴合合规趋势,通过更高标准的透明度和规范性,来吸引更多的机构客户,同时也为早期投资者提供了一个退出通道。

据 Amber 发布新闻稿披露,在纳斯达克上市后,Amber International 会围绕四个方面做拓展,加强合规便是重点之一,Amber 会推出代币化的 RWAs 和机构级别的合规投资产品,与资产管理公司、私人银行和受监管的金融实体拓展合作。

或超 10 家排队上市,CeFi 主导加密 IPO 浪潮

特朗普当选后,高盛、摩根大通等华尔街机构开始关注寻求 IPO 机会的加密市场客户。ARK Invest 也曾表示,特朗普政府或将重新为美国加密公司开放 IPO 窗口。

事实上,从特朗普当选后,已有多家加密公司在美国上市。通过 SPAC(特殊目的收购公司)也是加密公司偏爱的最快上市方式。

日本加密货币交易所 Coincheck 已于 2024 年 12 月 11 日完成合并上市。今年至今,也有 Amber、 Fold Holdings 两家加密公司完成了美股上市。

多家此前经历了多次上市波折的加密龙头公司也在抓住窗口期,推进 IPO 计划。

据不完全统计,近日有超 10 家加密公司推进 IPO 计划,相关进展如下:

  • Kraken:据彭博社上周报道,加密货币交易所 Kraken 正积极筹备于 2026 年第一季度进行首次公开募股 (IPO)。此前,由于拜登政府对加密行业的严格监管,Kraken 的上市计划一度受阻。

  • Gemini:据彭博社及 X 平台上的多方消息,Gemini 已秘密提交 IPO 申请,正在与高盛和花旗集团合作推进,最早可能在 2025 年内上市。公司此前与 CFTC 达成 500 万美元和解,并宣布 SEC 结束对其调查,为上市扫清部分监管障碍。

  • Circle:去年 1 月 Circle 重启 IPO,仍在等待监管审理。Circle 的 IPO 非常波折, 2021 年通过 SPAC 上市的计划因市场条件恶化取消。根据 Polymarket 的预测市场数据,目前有 59% 的概率认为 Circle 在 2025 年完成 IPO。

  • Bgin Blockchain:加密挖矿设备制造商 Bgin Blockchain 已于 2 月申请 IPO ,预计募资 5000 万美元。

  • BitGo :据 Aggr News 报道,BitGo 正在考虑最早于 2025 年下半年进行 IPO

  • Bullish Global:据 CoinGape 和彭博社,Bullish Global(Peter Thiel 支持的加密交易所,CoinDesk 母公司)正与 Jefferies 合作探索 IPO,计划 2025 年内推进。此前其 SPAC 计划(2021 年)未果。

  • eToro:据 Crypto Briefing 等报道, eToro 已秘密提交美国 IPO 申请,目标估值超 50 亿美元,计划由高盛、Jefferies 和 UBS 管理,预计 2025 年第二季度在纽约上市。

  • Ionic Digital :去年 10 月 21 日,Ionic Digital 宣布重新启动其 IPO 计划。它曾在 2024 年 11 月表示,预计在 2025 年第一季度或第二季度成为公开交易公司,但具体日期仍未确定。

  • Blockchain.com:去年 10 月,CoinDesk 报道称公司正在为 IPO“面试投行”,包括高盛和摩根士丹利,暗示其仍在推进上市准备,但具体时间表未定。

此外,Bankless 也提及 Digital Currency、Consensys 为可能在今年 IPO 的竞争者。加密资产管理公司 Bitwise 曾表示,基础设施提供商 Anchorage Digital、代币化公司 Figure 和分析服务 Chainalysis 也是即将上市的主要候选者。

从已上市或者计划 IPO 的加密公司来看,主导此轮加密 IPO 浪潮仍集中在头部交易所、CeFi 资管公司。

Both platforms have outlined transition plans. Doubao will allow data viewing and self-backup for a period after shutdown, with data scheduled for permanent deletion by October 15. Tongyi Qianwen similarly advised users to save important content via copying or screenshots before the deadline. This strategic retreat from C-end agent features signals a broader market shift. Compliance capability and sustainable business models are replacing user scale and feature richness as the new core competitive dimensions. Tongyi Qianwen's recent move to fully open its Agent and Skill platforms to third-party enterprises and developers further underscores a strategic pivot from low-value C-end services to high-value B-end enterprise scenarios.
