Суд в США подтвердил ответственность членов ДАО Lido за деятельность организации

В Калифорнии суд квалифицировал управляющую протоколом ликвидного стейкинга Lido децентрализованную автономную организацию (ДАО) как юридическое лицо в виде полного товарищества.

Согласно законодательству штата, участники структуры несут имущественную ответственность за ее действия.

Дело началось с иска Эндрю Сэмюэлса, который приобрел выпущенные Lido DAO токены. Инвестор утверждал, что активы являлись незарегистрированными ценными бумагами, а за понесенные им убытки ответственны ключевые партнеры ДАО — Paradigm Operations, Andreessen Horowitz (a16z), Dragonfly Digital Management и Robot Ventures.

Перечисленные компании подали ходатайства о прекращении дела. Однако суд удовлетворил только одно из них, посчитав, что Сэмюэлс не представил достаточных доказательств касательно роли Robot Ventures.

Инстанция признала Paradigm, Andreessen Horowitz и Dragonfly членами полного товарищества из-за их участия в управлении и операциях Lido DAO.

Главный юрисконсульт a16z Crypto Майлз Дженнингс назвал прецедент «сокрушительным ударом по децентрализованному управлению».

Today, a California judge dealt a huge blow to decentralized governance.

Under the ruling, any DAO participation (even posting in a forum) could be sufficient to hold DAO members liable for the actions of other members under general partnership laws.

По словам эксперта, решение означает, что даже сообщения на форуме ДАО может оказаться достаточно для привлечения члена организации к ответственности за действия других участников.

Напомним, в марте власти штата Вайоминг узаконили деятельность ДАО в качестве некоммерческих организаций с юридическим статусом.
