On Tuesday, March 19, the SEC issued joint guidance with the CFTC to “finally” provide clarity about how the securities laws apply to digital assets. On many issues, including staking and meme coins, the SEC’s new guidance is a welcome development and a marked improvement from the Gensler days. It also rightly acknowledges that the agency’s “regulation by enforcement” campaign under Chair Gensler had muddied compliance obligations and stifled the industry. But in important ways, the guidance stops short of the full course correction the crypto industry needs.

The biggest shortcoming is the SEC’s articulation of the Howey test for “investment contract” securities. All agree that most digital assets are not, on their own, investment contracts. Even the Gensler SEC (eventually) admitted as much, and the SEC’s new guidance reiterates that position. The key question, though, is when a digital asset is sold as part of an investment contract such that the sale becomes subject to the securities laws.

The statute provides the answer. As a matter of text, history and common sense, an “investment contract” means a contract – an express or implied agreement between the issuer and investor under which the issuer will deliver ongoing profits in return for the purchaser’s investment. Most digital assets are not investment contracts because they are not contracts. A digital asset can be the subject of an investment contract (like any other asset), but it can still be sold separately from the investment contract without implicating the securities laws. In the suits brought by Gensler, crypto companies vigorously defended that proper interpretation of the law.

LeClair said the criticism misunderstands the mechanics behind Strategy’s buying. “The Bitcoin treasury model is very pro-cyclical,” he said. “So when times are good, generally over a four-year market or minute to minute, it’s easiest to raise capital. And so the capital markets are wide open when Bitcoin’s strong for common equity. But when it’s weak, they’re not.”

That dynamic, he said, helps explain why Strategy’s purchases often arrive when Bitcoin is already trading strongly. If the company’s stock is performing well and its enterprise value is rich relative to its Bitcoin holdings, it becomes easier and more attractive to issue equity and convert that capital into more BTC. “When we sell stock, we buy literally minute to minute,” LeClair said, referring to Saylor’s own description of the process. “So when a weekly purchase comes out, people are like, well, Strategy bought the range high again. Well, it’s like, no, the causality is reversed.”

In LeClair’s telling, Strategy is not buying strength because it wants to pay up. It is buying when its financing window is strongest. In a recent interview, LeClair explained that this pattern isn’t about chasing highs. Instead, it reflects when capital is most available.
“The Bitcoin treasury model is very pro-cyclical,” he said. “When markets are strong—whether you’re looking at a four-year cycle or short-term moves—it’s simply easier to raise money. Capital markets open up when Bitcoin is performing well, especially for issuing equity. But when prices drop, those opportunities dry up.”
Because of this, Strategy often ends up buying Bitcoin during strong price periods. When the company’s stock is doing well and its valuation is high compared to its Bitcoin holdings, it becomes easier to raise funds by selling shares—and then use that money to buy more BTC.
LeClair added that the buying process itself is continuous. “When we sell stock, we’re buying Bitcoin almost minute by minute,” he said, echoing Saylor’s own explanation.
That’s why weekly purchase announcements can give the impression that Strategy is repeatedly buying at local highs—when in reality, it’s just a byproduct of how and when capital becomes available.
