SEC Weighs Safe Harbor Framework for US Crypto Token Launches

The SEC will consider a proposal for certain crypto investment contracts on Friday. The framework could create a safe harbor for early token sales. It may also define when securities oversight ends as networks mature.

The US Securities and Exchange Commission will meet Friday to consider publishing proposed rules for certain crypto investment contracts, potentially opening a tailored route for token launches. The proposal could include a safe harbor for projects raising money while their networks remain under development. It could also create separate disclosure and compliance requirements for those offerings.
TD Cowen’s Washington Research Group expects the proposal could begin with a safe harbor for early-stage token sales. The approach would focus on projects that use investment contracts to finance network development.

Under SEC Chair Paul Atkins’ framework, a sponsor could raise funds while building a network. The crypto asset could later move outside securities oversight once the network no longer depends on the sponsor’s managerial efforts.

That approach would separate the initial fundraising transaction from the token’s later regulatory status. Instead of fixing one classification permanently, the framework could recognize changes as the network develops.

MSCI opened a public consultation in early August 2026. The review could remove Strategy and Metaplanet from its Global Investable Market Indexes.

The proposal targets what MSCI calls non-operating companies. These are firms that build up assets, such as Bitcoin, instead of earning cash from a core business.

MSCI ran a simulation using data from May 2026. It found that Strategy, Metaplanet, and Yellow Cake PLC would have been removed under the new rules.

Yellow Cake is a UK company that holds uranium. Its place in the simulation shows the review is not aimed only at crypto companies.

How the New Screening Test Works

The proposal uses a two-step test. The first step checks whether a company’s operating assets make up more than half of its total assets.

Companies that fail this step move to a second test. That test looks at five financial measures, including cash flow and how much a company depends on raising money to buy assets.

Moon Pursuit Capital founder Utkarsh Ahuja has said crypto venture investors will prioritize quantum-ready infrastructure heading into 2027 as global VC investment reached $227.4 billion in the second quarter.

KPMG’s latest Venture Pulse report found that global venture funding recorded its second-highest quarterly total in Q2, although much of the capital went to large companies working in AI and other advanced technologies.

VC-backed companies raised $227.4 billion across 8,440 deals, down from the record $332.9 billion invested during Q1. OpenAI’s $122 billion round had lifted the first-quarter total, while Anthropic’s $65 billion financing provided the largest contribution in Q2.

US companies received $144.9 billion across 3,644 deals, accounting for nearly 64% of global investment. Other major US transactions included a $12 billion round for AI modeling company Project Prometheus and a $5 billion raise by defense technology company Anduril Industries.

Within the quantum-computing sector, investment slowed from the record pace recorded in 2025 but remained active, according to KPMG. Netherlands-based QuantWare raised $178 million, Germany’s eleQtron secured $66 million, and Quantinuum raised $1.6 billion through a Nasdaq listing that valued the company at $17.6 billion.
