T. Rowe Price amends S-1 for actively managed crypto ETF

T. Rowe Price, the $1.8 trillion asset manager best known for managing mutual funds and retirement accounts, has amended the registration statement for its proposed Active Crypto exchange-traded fund (ETF), updating a prospectus first submitted in October that outlines plans for an actively managed fund investing directly in digital assets.

The amendment with the US Securities and Exchange Commission (SEC) was submitted on Monday and lists 15 eligible digital assets that may be considered for the portfolio, including Bitcoin (BTC), Ether (ETH), Solana (SOL), $XRP ($XRP), Avalanche (AVAX) and Shiba Inu (SHIB).

The updated filing adds new operational details but it leaves the core structure of the proposed fund intact. The amendment names Anchorage Digital Bank as the ETF’s crypto custodian, expands disclosures around share creation and redemption, and adds Sui (SUI) to the list of eligible digital assets.

The asset list is largely consistent with the October filing, according to Cointelegraph’s earlier reporting. At the time, the proposal surprised some industry observers, given T. Rowe Price’s historically conservative focus on traditional investment products such as mutual funds over its nearly nine-decade history.

It also provides updated information on the FTSE Crypto US Listed Index, including constituent weights as of January 2026, and expands risk disclosures related to portfolio turnover and the fund’s active trading strategy.

Saylor even added a chart highlighting the company’s Bitcoin purchases over several years, hinting that the buying is far from over. For context, every orange dot in the chart represents one Bitcoin purchase made by Strategy.

Strategy’s Bitcoin buying spree

So far, there have been 102 purchase events by mid-March 2026. The orange line shows how Bitcoin’s price has moved over time, while a green dashed line shows Strategy’s average buying price, which is around $75,863.

When Saylor says “stretch the orange dots,” he means people should zoom out and look at the bigger picture instead of focusing on short-term price changes.

That said, Strategy currently holds 738,731 BTC, which is about 3.5% of Bitcoin’s total supply of 21 million coins. With Bitcoin trading near $73,000, the message suggests that Strategy may continue buying more Bitcoin and adding more “orange dots” in the future.

Analysts are divided

Needless to say, the company’s strategy is not only based on spare cash. According to analyst Lark Davis, Strategy has created a financial loop to keep buying Bitcoin.

It raises money by selling new shares or issuing convertible debt, and then uses that money to buy more BTC. In simple terms, it turns its stock into a tool to accumulate Bitcoin.

Remarking on which, Davis added,

It only works if Bitcoin keeps going up. Which means it’s either the greatest trade in history... or the most transparent gamble ever run.

Investors appear to support this strategy, as the company’s stock MSTR recently rose to about $139.67, showing confidence in its Bitcoin-focused approach.

Therefore, Edward interprets the current rise not as a sustained bull run leading to new highs, but rather as a relief movement within the broader bear market structure.

Tony Edward also argued that, based on Bitcoin’s position within the cycle, it is still in “undervalued territory” according to many on-chain models. In addition, he stated that the correlation between Bitcoin and software stocks has increased, and a simultaneous recovery is being observed in both. This is being interpreted as a development indicating that a broader risk appetite may be beginning to return to the markets.
