今日凌晨,FTX Trading Ltd.(亦称 FTX.com)及其附属债务人提交了预期修订重组计划和相关披露声明,该文件披露了对全球客户和其他债权人的分配计划。Odaily 将于本文解读文件重点和历史沿革。

文件要点解读

债权人赔偿

文件表示, 98% 的 FTX 债权人将在计划生效后的 60 天内以现金形式获得至少 118% 的认可债权赔偿。相较 1 个月前的预计赔付率 93% - 97% 又有进一步的提升。该部分债权人在文件中划分为特殊的“便利类型”,条件为索赔金额在 5 万美元以下的债权人(For creditors holding claims in an allowed amount of $ 50, 000 or less)

而其他债权人将获得 100% 的认可债权赔偿,并补偿其投资时间价值,文件称该部分价值数十亿美元(Billions in Compensation for the Time Value of Their Investments)年利率最高为 9% 。

政府债权人的索赔将归类于次级赔偿,以确保非政府债权人能够全额收到利息。

资产价值

据悉,FTX 预计归集和兑现并可用于分配的资产总价值约为 145 亿美元至 163 亿美元,其中一大部分来自 Alameda 或 FTX Ventures 持有的投资或诉讼索赔。

4 月 30 日,据消息人士披露,FTX 破产资产中的 SOL 已以约 100 美元价格完成第二批销售。在一次拍卖交易中出售约 180 万枚 SOL,价值约合 2.32 亿美元。消息人士称,竞标已于 4 月 25 日完成,锁仓 SOL 的出价范围为 85 美元至 110 美元,并声称 95 美元及以上的出价已通过。此外据彭博社援引一位知情人士的消息称,Pantera Capital 在最近的拍卖中购买了更多锁定的 SOL。而在更早,Sullivan and Cromwell 以 64 USDT 的价格出售了原价值 17 亿美元的 SOL。

目前 FTX 仍持有锁仓中超四千万枚的 SOL,SOL 的价格变动仍对资产价值有深远影响。

IRS 索赔

实际上,在 2023 年 4 月末,美国国税局(IRS)对 FTX 及其附属实体的资产提出价值近 440 亿美元的索赔,彼时赔偿优先级甚至可能优先于破产案件中其他债权人,一度大幅打压了 FTX 债权的价值。

而据最新文件显示,国税局相应索赔已转换为 2 亿美元现金支付和 6.85 亿美元次级索赔,并且优先级低于所有债权人和政府实体。

结论

虽多数债权人能获债权价值超 100% 的赔偿,但债权计算依据为 2022 年 11 月申请破产时的代币价格,相对亏损仍较大。
