Polymarket是目前全球最大的预测市场平台。据公开数据显示,其全球用户已超过3000万,仅2026年初,月交易量就维持在约10亿美元的水平。平台上的预测范围极为广泛,涵盖政治、体育、宏观经济、金融、加密货币价格等众多领域。

随着Polymarket生态的不断扩张,一批第三方工具也应运而生。这些工具由创业者开发,目的是帮助平台用户更高效地参与预测市场交易,弥补原生界面在功能和体验上的不足。

然而,从中国法律的视角来看,情况需要谨慎审视。正如邵律师在此前《V神、特朗普都转发的加密预测市场平台,面临哪些监管问题?》一文中所指出的,加密预测市场平台实质上提供的是二元期权类产品。

所以,如果中国创业者围绕Polymarket生态开发相关工具,是否可能面临国内法律风险?

1、Polymarket生态中的三类第三方工具有哪些

据Changan I Biteye内容团队的信息汇总,Polymarket生态中涌现出的第三方工具大致可分为三类:交易终端类、数据分析类和新闻交易类。创业者所开发的工具也主要围绕这三个方向展开。为便于后续分析这些工具的法律风险,此处对各类型做简要介绍。

1、交易终端类工具

这类工具主要解决Polymarket原生界面操作不便、功能单一的问题。这类工具提供了类似专业加密货币交易所的界面,核心功能包括市场行情概览、批量下单、止盈止损、一键跟单,以及AI辅助分析和跨平台套利等。

对用户而言,其好处在于操作更快、执行更强、门槛更低——用户可以批量操作,设置止盈止损以控制风险,新手也能通过跟单功能复制高手的策略。

2、数据分析类工具

这类工具致力于解决市场信息不透明的问题。它们通过分析Polymarket公开的链上数据,为每个交易地址建立详细的画像,核心功能包括交易者排行榜、钱包深度分析(盈亏、偏好)、以及识别内幕信号(如标记新创建但重仓的钱包)。

然而,作为中国创业者,在看好此类业务发展潜力的同时,内心也会存在一丝隐隐的不安——如果从事此类业务,是否会面临国内法律风险?他们的困惑主要集中在以下几个方面:

第一,Polymarket目前已取得美国商品期货交易委员会(CFTC)授予的“指定合约市场”(Designated Contract Market, DCM)牌照,从一个法律灰色地带的平台转变为受联邦监管的合规交易所。那么,为这样一个已取得合法资质的平台开发第三方工具,应该是合法的?

3、邵律师分析

尤其是常年生活在海外、对中国法律并不熟悉的创业者,存在上述误解是可以理解的,但这种误解也恰恰是最危险的。

以下将对2个核心问题进行解答:

第一,海外合规是否意味着中国创业者开发这类第三方工具就是合法的?

尽管Polymarket在海外取得了合规牌照,但从中国法律来看,这类预测市场平台具有明显的涉赌特征,这一点并不存在争议。根据2020年两高一部发布的《办理跨境赌博犯罪案件若干问题的意见》,为赌博网站提供软件开发、技术支持、会员发展等服务的,即构成开设赌场罪的共犯。

所以,并非只有涉及用户资金或帮助平台进行资金支付结算的行为才具有法律风险。上述三类工具虽功能不同,但目的都是让用户更加顺畅地使用Polymarket平台功能,弥补其原生界面功能不足的问题。客观上看,这些工具为Polymarket平台提供了技术支持、引流、发展会员、招揽赌客的服务。因此,为此类平台开发衍生第三方工具,存在涉赌的法律风险。

第二,工具和产品面向海外用户,是否就不涉及中国法律风险?

如果这类产品在国内可以通过VPN方式访问,甚至没有采取任何屏蔽国内用户的措施,那么根据属人管辖和属地管辖原则,无论创业者身处国内还是国外,均可能面临中国刑事法律风险。根据涉案人员的工作内容和行为模式不同,可能涉及的罪名也有所差异,重则可能构成开设赌场罪、非法经营罪的共犯,轻则可能涉及非法利用信息网络罪、帮助信息网络犯罪活动罪等。

4、给创业者的风险提示

这类创业者触及法律红线,往往是最令人惋惜的。他们中很多人拥有优秀的履历和海外留学背景,是常年居住、生活在海外的华人开发者。

在他们的认知以及所处的环境当中,Polymarket本身已取得合规牌照,属于合法经营的平台,况且市场上也存在大量同类第三方工具。在这种情况下,他们很难认识到自身行为的风险性。

因此,对于有志于在Web3领域深耕的创业者而言,建议在充分理解国内法律及市场政策的前提下,理性评估创业项目的潜在风险,审慎做出决定。
