Verb Technology Company, Inc. (Nasdaq: VERB) объявила о закрытии частного размещения на $558 млн при участии Kingsway Capital. Продано около 58,7 млн акций более чем 110 институциональным и криптоориентированным инвесторам, среди которых Kingsway, Vy Capital, Blockchain.com, Ribbit Capital и Graticule Asset Management.

Большая часть средств будет направлена на покупку Toncoin ($TON) — нативного токена блокчейна TON, интегрированного с Telegram. Toncoin станет основным резервным активом компании, обеспечивая доход от стейкинга и положительный денежный поток. В рамках смены фокуса Verb планирует ребрендинг в TON Strategy Co., сохранив при этом существующие направления бизнеса в области социальной коммерции и видеомаркетинга.

Организатором размещения выступила Cohen & Company Capital Markets, юридическое сопровождение обеспечили Reed Smith, Perkins Coie, Brownstein Hyatt Farber Schreck и Morgan Lewis.

Its closure highlights the peril for tooling projects that fail to adapt to market shifts and monetize effectively, serving as a cautionary tale for the industry.
