美东时间 7 月 30 日,白宫《数字资产政策报告》正式发布。本文以速览方式梳理五大定论两个悬念,并给出监管与业务层面的落地影响与下一步观察点。(本文所引报告为官方版本

五大定论

1)稳定币“走支付通道”,明确定义与监管边界:

报告给出“支付稳定币”的法定定义:用于支付/清算、可按固定金额兑回,且“不是国家法币、不是存款、也不是证券”;同时将(经许可的)稳定币发行方明确定义为《银行保密法》(BSA)下的“金融机构”,并要求境外发行方在涉美执法场景下依法执行冻结/没收等命令。这意味着稳定币被纳入支付与反洗钱/反恐怖融资框架,而非证券发行通道。

2)银行“解冻”与接入提速:

监管前置报备与联署“风险”警示被撤回,“声誉风险”不再作为检查项。主账户(master account)申请要给出明确时限,逾期可“视同批准”;且不得仅因涉数字资产业务而否定资格。对行业而言,这直接关系到银行托管、清算与支付的可得性与可预期性。

3)市场结构给出“工具箱”:

SEC/CFTC 被建议用规则制定与豁免权,为功能尚未完全实现或尚未充分去中心化的项目提供限时“安全港”/豁免对与投资合同无关、或在特定条件下不构成证券的数字资产,建议允许其在非 SEC 注册平台上交易(配套条件下);并探索监管沙盒,设置清晰准入、毕业路径。该思路旨在把融资、交易、托管、清算各环节有序纳管,避免“一刀切”。

4)税收路径:把数字资产“写进法条”,补齐洗售等关键规则。

工作组建议国会:将数字资产作为新的资产范畴纳入经改造的证券/商品税制条款;把“洗售规则”(§1091)与“构成性卖出”(§1259)拓展适用至数字资产;对支付稳定币,倾向按债务工具路径讨论并豁免/优化相关洗售与反不记名债券条款的适用,以避免日常支付环节产生不必要的合规摩擦。

5)国家层面的“比特币储备/数字资产库存”进入“制度化”推进:

财政部已就如何在不增加纳税人负担(预算中性)的前提下逐步增持、托管安全与操作路径向白宫报送考虑事项,下一步将与白宫及工作组推进“储备与库存”的落地。报告文本未披露任何持仓规模或时间表

两个悬念

悬念 A:美国“比特币家底”仍未给出具体数值。

尽管“战略比特币储备/数字资产库存”的机制与分工已写入,报告未公布联邦政府当前可动用的 BTC 余额,亦未给出定期披露口径。白宫同步发布的事实清单与多家媒体的当日解读,也均未出现可核验的余额/采购节奏细节。后续若财政部补充披露,将是行情与政策跟踪的焦点。

悬念 B:跨境互认与等效性细则。

报告强调全球监管碎片化会削弱稳定币作为“货币工具”的可靠性,并提出在支付、互操作、治理、隐私等方面需要协调,但对跨境牌照互认/等效性操作级安排仍留白,意味着发行方与跨境平台短期内仍需按各地规则分别合规。

为何重要?又影响谁?

报告首先把稳定币的监管边界从“能否发行”明确为“如何作为支付工具合规运行”。

对发行方而言,只要按支付与 BSA 体系完善储备质量与透明度、建立兑付承诺,并预置对涉美冻结与扣押命令的响应流程,支付与清结算类产品就有了可操作的合规路径。与此同时,银行端的不确定性显著下降:前置性报备与“声誉风险”障碍被移除,主账户申请被要求设定明确时限并在逾期情况下视同批准,托管、代收付与链上支付等业务因此获得重启与扩张空间。在资本市场层面,限时安全港/沙盒与交易平台适配机制,为逐步交付功能或渐进去中心化的项目提供了“试运行—披露—毕业”的制度通道,降低了“未上路先违规”的结构性风险。

在具体主体的应对上,稳定币发行方需要沿支付工具路线补齐储备披露、月度报告与兑付承诺,并把跨境执法协同嵌入内控流程。银行与托管机构应同步评估托管业务恢复与链上支付扩展的可行性,推进主账户申请,完善风控口径,并关注第三方/分托管与技术最佳实践的更新。交易平台与开发者可围绕安全港/沙盒的门槛、期限与“毕业路径”,提前准备代币经济、治理权限、升级与应急机制等信息披露材料,匹配合规要求。税务与财务团队则需预研洗售与构成性卖出等规则的适用边界,完善加密借贷与稳定币税性的处理,并按时间表改造 1099 报送与成本基础系统,确保报税与稽核链路顺畅。

下一步观察(要看哪?)

接下来要看的,是原则到操作的落地节奏,核心集中在四条线:

第一,银行端口径。联储、OCC 与 FDIC 需把“主账户”审批的时限与逾期视同批准写成可执行流程,同时明确不得因“涉数字资产业务”而一刀切拒绝;并将受理量、平均时长等统计对外披露。与此同步,检查手册中关于声誉风险的表述应当彻底剔除,避免事实上的“劝退”。

第二,市场结构试点。SEC/CFTC 有望就安全港/沙盒启动征求意见或小范围试点,并细化非证券类数字资产与传统证券并行交易的ATS/经纪商/托管/转让代理等操作规范与披露要求,给出清晰的“准入—试运行—毕业”路径。

第三,国家数字资产储备的“操作化”。财政部需推出来源接收、托管架构、会计与治理的一整套流程,并决定是否建立定期披露口径与节奏。这将直接影响市场对“家底”与政策确定性的预期。

第四,国会协同。立法层面将推动稳定币(GENIUS 的实施配套)CLARITY(市场结构)以及反 CBDC路径的后续协商与落地;报告态度已明确——不推进 CBDC

哪一条先落地,将决定资金“卡口”解除的先后顺序;若主账户市场结构工具率先明朗,法币出入金与合规流动性将最先受益。

结语

这份166 页的报告把美国数字资产政策从“模糊地带”推入“可操作区”其主线清晰:以支付稳定币与 BSA 为骨架,恢复银行端接入能力,依托 SEC/CFTC 的规则工具完善市场结构,以渐进式税制补齐制度空白,并明确不推进 CBDC。
