Solmate Infrastructure's largest outside shareholder sues board over alleged self dealing


RBCH, the biggest external investor in Solana treasury firm Solmate Infrastructure, has filed a lawsuit in New York State Supreme Court accusing the company’s board and officers of fiduciary breaches, self dealing, and making misleading statements to shareholders.

The complaint targets Solmate’s current directors and officers. RBCH is affiliated with Viktor Fischer, the founder and CEO of RockawayX, who holds ~22.74% of Brera Holdings, Solmate’s parent company, after leading a $300 million PIPE investment in September 2025 with an additional $50 million commitment.

What the complaint alleges

The lawsuit claims that board members sold their own shares while other investors remained locked up, unable to trade. Insiders, such as Sade and Maimon, sold shares above $33 each on the same day the PIPE closed in September 2025, generating over $1.6 million, while PIPE investors, such as RBCH, were still locked up.

According to RBCH, the board authorized advisory agreements that distributed benefits to individuals who were affiliated with directors.

Ron Sade and Keren Maimon, directors, acquired ~2.298 million. Existing shareholders were diluted by ~20% as a result of the transaction, which involved the issuance of Class B shares at $4.97 each, according to the complaint. The purchase is classified by RBCH as an unlawful self dealing transaction.

Days later, Forward, a treasury firm owned by Solana, proposed to acquire Brera for $7.19 per share, a 30% premium to the market price at the time. The board declined the offer without subjecting it to a shareholder vote.

Ripple has received preliminary approval for a Crypto Asset Service Provider licence from Luxembourg’s financial regulator, opening the door to full-scale regulated payments services across all 30 countries of the European Economic Area.

It is one of the most significant regulatory wins in the company’s history. And within hours, a familiar question was back on social media: what does any of this mean for $XRP holders?

What Ripple Just Achieved
The green light letter from Luxembourg’s CSSF, issued under the EU’s Markets in Crypto Assets regulation, allows Ripple to offer its complete cryptoasset and stablecoin payments infrastructure to banks, fintechs and corporates across Europe through a single integration.

Combined with its existing EU Electronic Money Institution licence, European financial institutions can now access Ripple’s collect, exchange and payout services under one unified regulatory roof for the first time.

The Question Retail Holders Are Asking
The celebration was not universal. $XRP community members voiced a frustration shared widely across retail holders.

“This does nothing once again for retail $XRP holders,” he wrote.

They also criticized Ripple’s push to promote $RLUSD and the stablecoin sandwich solution to cross-border payments.

The concern is important because Ripple’s institutional expansion is real and accelerating. But if cross-border payment flows route primarily through $RLUSD rather than $XRP, retail holders may find themselves adjacent to the growth rather than central to it.

Ripple maintains that $XRP and $RLUSD are complementary, with $XRP serving as a bridge asset where stablecoins cannot.

BTC Prophet: 20-Day 380 Million HTX Challenge

The second-largest global money transfer company, MoneyGram, has officially joined the Solana ecosystem, with the intent to expand its core financial services to the Solana blockchain.

In a report on Monday, MoneyGram said it has launched a validator and also joined the Solana Developer Platform (SDP) as an infrastructure partner.

Being a validator allows the global payment leader to stake SOL tokens, process blocks, and directly participate in the network’s security. 

MoneyGram now runs a Solana validator

“Running a validator puts MoneyGram inside Solana’s consensus,” said Luke Tuttle, Chief Product and Technology Officer at MoneyGram.

The move will see MoneyGram connect its network of nearly 500,000 retail locations, with over 60 million customers, to Solana’s on-chain infrastructure, according to the announcement.

The firm said joining the Solana ecosystem comes as a natural extension of its commitment to integrating crypto into its core global payments platform over the last five years.

In 2019, MoneyGram partnered with RippleNet and processed billions of transactions using XRP-based On-Demand Liquidity products. However, the partnership was shelved following the Ripple-SEC ordeal in 2021.

By joining and running a Solana validator, Tuttle said the idea is that MoneyGram helps “run the rails we move money on.”

Solana now counts as the third network where the global payment giant operates a validator. 

In May, MoneyGram became one of the select groups of institutions designated to run a validator for remittance transactions on the Tempo network.

Global energy company Chevron has signed a partnership deal with Microsoft to build a dedicated natural gas power facility next to the tech giant’s data center campus in Pecos, Texas, penning a 20-year agreement that could generate up to 2.67 gigawatts of electricity for the data center’s AI workloads.

The “Kilby” energy project will pair one of the largest U.S. energy producers with one of the biggest buyers of data center capacity, continuing the trend of tech companies scrambling to lock down reliable electricity for AI infrastructure. Microsoft expects the Pecos campus to add 2 gigawatts of data center capacity over the next five to seven years, according to Reuters.

Chevron will develop the project alongside investment firm Engine No. 1 and GE Vernova, which will supply the majority of the gas turbines. Caterpillar’s Solar Turbines subsidiary will also provide additional generation capacity. Initial power generation is targeted for 2028, with output scaling to 2.67 gigawatts over time.

Microsoft bets on behind-the-meter power

Microsoft described the data center investment as a multi-billion-dollar commitment that would create more than 6,000 construction jobs and hundreds of permanent operational roles, according to Reuters.

The facility sits “behind the meter”, meaning Chevron will generate all of the electricity on-site instead of feeding it through the regional grid. Chevron New Energies senior commercial manager Deli Cole said the company can “provide reliable, scalable supply in step with accelerating demand” through dedicated power tailored to data center customers, according to Chevron’s newsroom post.
