Cipher Mining (NASDAQ:CIFR) сообщила о размещении конвертируемых старших облигаций на сумму $1,1 млрд с нулевым купоном и сроком погашения в октябре 2031 года. Ее завершение ожидается 30 сентября 2025 года.

Эти облигации необеспеченные и не будут приносить процентного дохода, а их сумма не станет увеличиваться к погашению. Держатели смогут конвертировать бумаги в акции компании по цене $16,03 за акцию, что на 37,5% выше текущих котировок — $11,66. Конвертация возможна в определенные периоды до июля 2031 года, а затем — в любое время до даты погашения. Cipher сможет расплачиваться наличными, акциями или их комбинацией.

Компания также предусмотрела право досрочного выкупа облигаций начиная с октября 2028 года. Это возможно, если цена акций будет превышать 130% установленной цены конверсии в течение оговоренного периода. В случае фундаментальных корпоративных изменений держатели смогут потребовать выкуп бумаг по номиналу. Кроме того, обязательный оффер предусмотрен в 2029 году.

Чистые поступления от сделки оцениваются в $1,08 млрд, а при полном использовании опциона андеррайтеров могут достичь $1,27 млрд. Из этой суммы около $70 млн будет направлено на capped call транзакции для защиты от «размывания» акций. Остальные средства пойдут на строительство дата-центра Barber Lake, расширение стратегии высокопроизводительных вычислений (HPC) и развитие проектов общей мощностью 2,4 ГВт.

Руководство Cipher подчеркнуло, что новые денежные средства ускорят реализацию стратегии компании в сфере инфраструктуры для майнинга и HPC. Организация активно расширяет сеть индустриальных дата-центров и видит в этом ключ к долгосрочному росту.

Upbit's strategic push may be less about immediate profit and more about preparing for future regulatory shifts. With South Korea's *Digital Asset Basic Act* on the horizon, which will regulate KRW-backed stablecoins, and following Dunamu's (Upbit's parent) integration into Naver Financial to build a payment ecosystem, securing a dominant position in the dollar stablecoin distribution channel holds long-term strategic value.
