一场价值1300万美元的ETF“扯皮”事件

北京时间 5 月 24 日凌晨,美国证券交易委员会(SEC)正式批准了由包括贝莱德、富达、灰度、Bitwise、VanEck、Ark Invest、Invesco Galaxy 和富兰克林邓普顿申请的全部 8 只现货以太坊 ETF 的 19 b-4 表格,为 ETH 走向传统金融市场打开了大门。

需要注意的是,虽然上述各只现货以太坊 ETF 的 19 b-4 表格已获批,但 ETF 仍需其 S-1 注册声明生效后才能正式开始交易。鉴于 SEC 刚刚开始与发行方就 S-1 展开讨论,需要时间进行磋商与修改,尚不清楚这一过程究竟需要多长时间 —— 彭博 ETF 分析师的猜测是,可能仍然需要几周的时间。

随着 SEC 的公告发布,知名预测市场 Polymarket 关于“现货以太坊 ETF 是否会在 5 月 31 日之前获得批准”的赌约也迎来了收盘,并确定将以 YES(即“会获批”)的结果执行,这意味着选择了 YES 的用户将拿走该赌约内全部 1322 万美元的奖励,反之选择了 NO (即“不会获批”)所投入的资金均将归零。

在关于执行结果的补充说明中,Polymarket 表示:“根据今日所发布的文件,SEC 已批准了八项提案,允许上市和交易以太坊 ETF,文件还提到了“特此以加速方式批准”,因此本赌约的最终结果将为 YES。

然而,这一执行结果却在 Polymarket 社区内引发了巨大争议。

提出质疑的一方主要来自于选择了 NO 的用户,在该赌约的下方,大量用户正集中表达对 Polymarket 这一执行结果的不满,甚至直言 Polymarket 在“操作市场”,自己则被“抢劫了”。

综合该部分用户的质疑来看,选择了 NO 的用户普遍认为 Polymarket 的这一执行结果并不严谨,因为 ETF 的通过需要 19 b-4 和 S-1 两项文件的共同获批,当前 S-1 的结果未定,仅仅是 19 b-4  获批并不代表 ETF 已完全获批,因此不应该直接以 YES 收盘。

对此,有用户呼吁表示希望能够重启该市场,待 5 月 31 日的赌约截至日期到来之时再做定夺;也有用户认为此事系 Polymarket 规则不严谨,因此应该 50/50 直接退款。

客观而言,就本次事件来看 Polymarket 在规则设计上显然存在纰漏,未能在赌约启动之前(或是生效周期内)就结果执行的标准给出足够清晰的判断依据,未能充分解释“获批”的具体条件 —— 即是否需要 19 b-4 和 S-1 同时获批。

至于 Polymarket 出现如此纰漏的潜在原因:一是因此本次 ETF 审批的转折太过突然,就在一个星期之前,市场普遍都还认为现货以太坊 ETF 很难在此关口获批,因此 SEC 此前并未就各大申请方及交易所进行足够的沟通,但随着拜登政府因选票压力而突然转变对加密货币的监管态度,SEC 也不得不紧急“加班”,但时间窗口过短使得 SEC 只能先行敲定 19 b-4 ,S-1 的审批仍需等待更多时间;二是因为类似的审批进程在加密货币 ETF 历史上尚无先例,年初时的现货比特币 ETF 是同时批准了 19 b-4 和 S-1 文件,所以 Polymarket 可能也没料到二者之间也会出现时差。

如此一来,Polymarket 只能在不够完善的规则之下选择相对更能让市场接受的一种结果,结合补充说明来看,Polymarket 或许是考虑到业界普遍认为 19 b-4 的获批意味着 S-1 将只是时间问题,所以就选择了 YES 作为最终结果。

但反过来说,选择了 NO 的用户也很难认同这种较为模糊的答案,尤其是在损失了真金白银的情况下。
