Singapore-based Bitdeer Technologies, a Bitcoin mining and AI infrastructure company, saw its shares tumble 17.38% on Thursday after announcing a $300 million convertible senior note offering. The deal includes an option for an additional $45 million, with notes due in 2032, paying semiannual interest, and convertible into cash, shares, or both.
Bitdeer plans to use the proceeds to expand data centers, grow its AI cloud business, develop crypto mining hardware, and fund general corporate purposes. The company currently operates data centers in the U.S., Norway, and Bhutan.
This is Bitdeer’s second convertible note issuance. A previous $150 million offering in April 2024 also triggered an 18% stock drop, a pattern that repeated this week. Convertible notes often weigh on stock prices due to potential future share dilution. To manage this risk, Bitdeer is running capped call transactions and conducting a direct share offering to repurchase some 2029 notes.
BTDR shares closed at $7.94, down further in after-hours to $7.89, marking a 29% decline YTD and roughly 70% below its $26 peak in January 2025.
