CEA Industries (BNC) has finally had its moment in the spotlight again.
Due to the tokenized stock model 4Stock launched by Four.meme listing BNC as its first on-chain stock, BNC's pre-market gain has exceeded 60%. While BSC chain stock-pairing Memes are still in a chaotic frenzy, BNC, as the base pool pairing asset, stands to benefit regardless of the final winner. An unintended stroke of luck: the one most likely to complete the 'Meme coin pricing stock' transmission chain turns out to be CEA Industries (BNC), the BNB treasury company that once faced delisting risk and even ensnared CZ.
BNC last garnered significant attention due to the dispute between the company's board and YZi Labs. Since November 2025, YZi Labs has been battling the company board led by David Namdar for control over CEA Industries' governance. David Namdar secretly transferred millions of dollars from CEA Industries to himself, while YZi Labs demanded an expansion of CEA Industries' board seats. The back-and-forth struggle between the two camps was as thrilling as a blockbuster business drama. Interested readers can refer to Odaily's previous article "CZ Got Rekt Too? The Bloody Battle for Control of BNB Treasury CEA Industries".
Today, the half-year-long dispute has concluded, with YZi Labs successfully regaining control of the company. BNC is now officially back on track.
YZi Labs Regains Control of BNC
On June 23, 2026, CEA Industries announced the signing of a cooperation agreement with YZi Labs. The agreement primarily includes 3 points:
- First, the appointment of Ella Zhang, Alex Odagiu, and Matthew Roszak as company directors, all belonging to the YZi Labs camp. The new CEA Industries board has a total of 6 seats, with the remaining 3 held by Carly E. Howard, Annemarie Tierney, and Glenn Tyranski. This means the YZi Labs camp holds at least half the control of CEA Industries.
- Second, the appointment of Alex Odagiu as Interim President, reporting directly to the board until a new CEO is appointed. Therefore, CEA Industries is currently entirely managed by Alex Odagiu, who is also an investment partner at YZi Labs.
- Third, YZi Labs has also terminated its consent solicitation action to expand the CEA Industries board and withdrawn related record and meeting date requests.
While the exact reason for reaching this agreement is unknown, the result is that YZi Labs has regained control of CEA Industries. The transformation of CEA Industries into a BNB treasury was originally spearheaded by YZi Labs, which led a $500 million private financing round. Therefore, from an investor's perspective, "stakeholders pushing hard" is a significant positive for BNC.
On July 22, CEA Industries held its 2026 annual shareholder meeting, which had been deliberately postponed by David Namdar. On the same day, the board appointed company CFO William B. Miller to also serve as Interim CEO. William B. Miller's role as Interim CEO does not conflict with Alex Odagiu's role as Interim President.
William B. Miller's Interim CEO is more of an SEC legal concept, a CEO for reporting purposes, not the traditional "CEO who manages the entire company." According to the company's charter, Alex Odagiu's Interim President position comes with a monthly salary of $25,000. His responsibilities mainly include investor relations, interfacing with BNB ecosystem stakeholders, and external communication regarding the BNB treasury/digital asset strategy. However, he does not manage daily operations, cannot sign contracts on behalf of the company, hire staff, or manage finances.
Thus, Alex Odagiu is more like a strategic/IR Interim President dispatched by YZi Labs to CEA Industries. William B. Miller and Alex Odagiu have split the functions of the former CEO. Perhaps due to the lack of a CEO, CEA Industries' business has not seen much progress in recent months.
According to the full-year fiscal 2026 financial report released by the company on June 23, as of April 30, 2026, CEA Industries held a total of 515,544 BNB tokens, valued at approximately $380 million. The full-year fiscal 2026 net profit was $115.2 million, or $2.52 per diluted share. During this fiscal year, the company repurchased 1,434,112 shares of common stock for $3.8 million.
The current official website dashboard shows that CEA Industries' BNB reserves remain at 515,544 tokens, with an average cost of $855, far above the current BNB price. This indicates that CEA Industries has not increased its BNB holdings for at least over 4 months, which, for a BNB treasury company, can essentially be considered operational stagnation.

This stagnation can also be attributed to the recent conclusion of corporate governance restructuring and personnel changes. Nevertheless, CEA Industries remains the listed treasury company with the largest BNB reserves. Purely from a stock price perspective, coupled with the current hype around BSC stock-pairing Memes, BNC appears severely undervalued.
BNC Severely Undervalued, $8.9 Million Buy Order on the Way?
When BNC rose on September 8th due to the 1:1 pegged on-chain stock token BNC4, CZ also retweeted his July interview comments about CEA Industries. CZ stated he was not worried about CEA Industries because several members of YZi Labs also invested their own money in CEA Industries. Based on their vested interests, CZ believed they would manage the company well.
Alex Odagiu has even changed his profile picture to an image wearing a hat with the slogan "MAKE BNC GREAT AGAIN."
In July last year, when YZi Labs announced CEA Industries as a BNB treasury company, its stock price surged over 670% in a single day from $8.88 to $68.76. Back then, BNC rode the DAT narrative cycle. Now, can BNC ride the east wind of the stock-pairing Meme narrative and soar all the way up?
Looking at mNAV and market cap, BNC is indeed undervalued.
Based on the current BNC price, CEA Industries' mNAV remains below 1, around 0.5. For the mNAV to return above 1, the BNC price would need to reach at least $9.39, with a market cap exceeding $387 million. With CEA Industries' personnel changes just concluded, subsequent company operations might be in the planning stages, making this a potentially good time to buy BNC at a discount.
The largest buy order for BNC comes from Four.meme. Four.meme previously posted that over $2 million was queued to mint BNC4. According to Odaily's latest statistics, as of writing, the BNC4 mint deposit address is suspected to have received over $8.9 million. These funds will ultimately be used to purchase BNC shares in the stock market.
Currently, BNC's market cap is around $140 million, classifying it as a micro-cap stock. This over $8.9 million buy order is sufficient to drive up the BNC stock price, with the only concern being the timing difference of the purchases.
Secondly, even if Four.meme's purchases have a timing difference, BNC is currently at the narrative forefront where on-chain Memes drive stock price increases. A large amount of market FOMO capital will flow into BNC, potentially creating a spectacle no less intense than last year's DAT frenzy. Moreover, if BNC resumes BNB accumulation, then the BSC stock-pairing Meme could ultimately form a transmission path of Meme coin → BNC4 → BNC → BNB, with the ultimate beneficiary being the BSC ecosystem.
Whether this logic can be validated depends first on BNC's performance in the near term.
