从理想国到“驱逐地”:5位 Web3 从业者眼中的新加坡变局

2025630日,是写在坡县Web3圈每位从业者日历上的一条红线。

这天起,根据新加坡《金融服务与市场法案》(FSMA)第137条:所有提供数字代币相关服务的个人或公司,只要在坡设有营业场所,不论服务对象是否在新加坡,必须获得数字代币服务提供商(DTSP)牌照,否则将面临刑事责任。

新加坡金融监管局(MAS)在530日发布的监管回应文件中明确指出:届时尚未持牌者,必须立即停止境外业务;不接受 申请中 状态作为合法存在依据。这条措辞,被不少人解读为 有史以来最严加密监管” 

对此,ChainCatcher向专业律师咨询了本次FSMA文件中被忽视的重点。此外,我们也采访了5base在新加坡的从业者,尝试还原在坡Web3er真实现状,了解他们眼中的新加坡监管变化。

注:本文中,MAS 是新加坡的金融监管机构,PSA 2019年推出的,早期专管加密支付服务的法律,FSMA 2022年推出的,新版更全面的监管法案,加入了对代币相关服务的管理,DTSP 指提供代币交易、托管、转账等服务的个人或公司,是FSMA重点监管的对象。

一、被忽视的法案核心要点

在与北京策略律师事务所,数字经济专委会主任郭亚涛律师采访过程中,我们发现了以下几个值得读者注意的法案内容:

1FSMA不是境外补丁,而是全面升级,境内外业务皆受约束

许多业内人士误以为FSMA只是为了弥补,原《支付服务法》(PSA)未能监管的新加坡企业服务境外客户的漏洞,但郭律师强调:“FSMA 是一部统筹监管的框架性法律其多个部分适用于在新加坡境内提供金融服务的实体,这意味着,无论业务是面向境内还是境外,只要在坡设有营业场所或是新加坡注册的公司,都必须遵守FSMA。这一 穿透式监管 逻辑也标志着MAS对本地Web3从业者的全面监管正式开启。

2、监管重心从机构牌照转向个人审查

PSA主要聚焦企业与机构的合规性,而FSMA则新增了对 的监管机制,郭律师指出: “FSMA MAS 得以绕开传统的机构许可框架,直接干预和隔离金融市场中的 高风险人员,实现 的穿透式监管。这意味着,即便是非管理层的自由职业者、远程开发者、顾问或KOL,只要在坡境内从事相关服务,都可能被MAS认定为监管对象。要求充分理解FSMA框架、具备相关从业经验,从而大幅提高个人从业门槛。

3FSMA的门槛显著抬高,合规要求远超PSA

即便已经持有PSA牌照,也不能自动通用。郭律师指出:目前市场上大多数已核准的加密业务牌照仍是基于PSA发放的, FSMA在合规门槛上显著抬高。MAS明确表示,即使是已获得PSA牌照的企业,也需重新提交补充材料以满足FSMA要求。申请DTSP牌照不仅需具备25万新币初始资本、常驻的合规官,还必须建立独立审计机制、定期提交合规报告,并满足反洗钱与反恐融资的流程与配套管理体系。

二、看看在坡县的Web3从业者怎么说?

从覆盖面广,到要求更细致,到门槛抬高,监管的趋严的确为Web3er造成许多压力和恐慌。然而纸面上的条例归纸面,真正能反映一国政策是否欢迎Web3,还得看实际落地的企业和从业者怎么说。ChainCatcher的采访中,我们也听到了截然不同的声音——从无奈搬离的初创团队,到选择观望的个人工作者,再到依旧看好坡国长远潜力的老移民,他们的故事,拼凑出了一幅真实的政策落地图景:

1 代币化运营项目方创始人Chari:小企业有自己的生存之道,河水总会找到出路

我们的确受到了影响,在当下的币圈,几乎所有有意义的产品最终都绕不开交易 这个核心。而一旦涉及交易,就必然会触碰到DTSP监管红线。监管本应服务于商业模式成熟、结构清晰的公司,而对我们这种小团队来说,投入大量时间和资源与监管打交道,几乎是——不可承受的负担。

很显然新加坡如今已经不再适合初创期项目的发展,可能新加坡一直都没有想过,要成为初创企业的摇篮,他们只希望成为成熟企业的总部。我们连下个月业务形态会变成什么都还不确定,目前也并不排除未来彻底搬离坡国的可能。不过,我会持乐观的态度面对变化,毕竟“小企业一定有其自己的生存之道“。

2、深耕OTC交易多年的极客少年(化名): 新加坡是 “务实的渣男” ,谁有价值谁留下

我感受到Web3这行一直有些被排斥,无论是之前被中国驱赶,还是目前在新加坡小企业的边缘化。但是客观来讲,作为一名在新加坡从事OTC业务多年的从业者,我一直觉得 务实 是新加坡监管的底色。说得直白一点,新加坡政府就像个“务实的渣男“:谁能带来实质价值,谁就能留下;谁只是带来泡沫,那就适当送客。发过牌照的可以继续做,其他的就得清退,这是非常明确的信号。

不过,站在我的角度来看,这次的监管并没有那么铁拳,更像是——“雷声大,雨点小”,主要是敲山震虎。真正需要牌照的企业早就已经申请了,那些对政府有贡献,或者真正有能力的老板,其实根本不会因为这轮新规而焦虑。

至于为什么突然监管收紧,我认为这和币圈在东南亚存在的灰产与空壳公司有关。MAS现在的目标,其实是想通过这波法规,给一些不太规范的KOL和散乱群体敲个警钟。他们未必真的能一刀切掉这些人,但希望能用法律的框架逼他们收敛一些。

就我所知,最近已经有一些KOL和交易所从业者选择暂停业务,出去旅个游,或者保持观望,大家都在等一个更明确的信号。

3、在新加坡Web3 AI 领域深耕多年的从业者John:透过现象看本质,有因也必有果

我想强调一个词:务实 。这是我对新加坡一直以来治理风格的核心理解。新加坡的高效、对规则的坚持,本质上是为了保障经济效益,以及在国际政治与金融博弈中争取一个稳定的位置。这一次监管条款愈发严格,其实是因为Web3领域里出现了一些需要正视的问题,政府必须介入,来保障生态的健康发展。

我的项目目前并未受到直接影响,但我能看到,对于一些尚未获得许可的交易所,以及与其合作的项目方、生态伙伴而言,这一轮政策调整确实带来了不小的冲击。特别是那些在Web3圈子中担任金融顾问型角色的KOL们,政策的施压已经传导到了他们身上,也起到了一定的震慑作用。

最近我也注意到,越来越多的自由职业者和远程工作者,开始更倾向于在家办公,并避免在公开场合主动讨论Web3相关话题,大家都在试图降低风险,减少不必要的麻烦。

4、在坡生活近 20 Reddio 创始人Neil:一切并没有变,Web3依然是新加坡国家战略的一部分

其实新加坡这几年在 Web3 领域的监管政策,并没有出现剧烈转向,更多是对既有框架的明确和细化。根据 MAS 最新的澄清和《联合早报》的报道,这次监管的重点在于数码支付代币(DPTs)以及具资本市场属性的代币,而我们常说的实用型代币(Utility Tokens)和治理型代币(Governance Tokens)目前并不在其监管核心之列。

对大多数初创项目来说,新加坡依然是一个制度明确、路径清晰、资源丰富的环境。MAS 不仅长期保持高透明度,还设有开放的咨询机制,企业若想评估自身的合规情况,其实并不难。花几千新币就能获得法律意见,成本也属合理。

从更长远的视角来看,Web3 依然是新加坡国家战略的一部分。除了明确的政策框架,政府还通过资金支持、人才培育、产业联盟等多种方式推动生态发展,新加坡教育部也非常鼓励高校开设区块链课程。我个人始终认为,在全球范围内,若要寻找一个能真正兼顾监管合理性与产业活力的地方,新加坡依旧是最具包容性、也是最值得创业者信任的选择。

5GM Agents 的创始人Chess:是洗牌期,但针对的是偏金融方向而非所有人

对我们而言,目前的监管变化并未带来明显冲击,我们是AI初创公司,也仍计划继续留在新加坡持续建设。我认为这轮监管更多是针对金融属性较强的企业与项目,而对于我们这样的小型团队,实际影响相对有限。币圈大厂都还没啥事情,其实轮不到小团队担心。

谈到新加坡的创业环境,我一直觉得这里非常适合小团队,甚至是个人创业。特别是对像我这样的海外华人来说,新加坡在语言和文化上有着天然的亲和力,沟通成本低,落地也更快。虽然有人觉得新加坡在某些政策上偏保守,但在我看来,它相比许多地区依旧是一个公平、开放且理性看待创新的地方。在坚持秩序的基础上,新加坡确实也愿意给创新者机会。

结语

这次监管收紧,本质上是新加坡作为国际金融中心的一次自我校准,而非对Web3行业的驱赶。Web3从业者并未被简单地分为逃离与留守两派,相反,他们正在重新选择和考量:是留下来接受更高强度的监管以换取长期的政策确定性,还是转向那些看似更友好、但充满更多不确定性的市场。
