Metaplanet, valued at around 1.11x its market-to-net-asset value (mNAV) on Monday, is ramping up efforts to grow its Bitcoin treasury. The company currently holds 35,102 BTC and plans to use fresh capital to keep buying Bitcoin, with an ambitious target of 210,000 BTC.
Moving Strike Warrants and New Capital
Metaplanet recently raised about $255 million through a private placement of new shares at a 2% premium, paired with fixed-strike warrants at a 10% premium. CEO Simon Gerovich explained that if all warrants are exercised, the company could generate an additional $276 million, while a separate “moving strike” warrant package could provide another $234 million.
The moving strike warrants include an mNAV clause, meaning they can only be exercised when the stock trades above 1.01x mNAV. This prevents dilution that would reduce the amount of Bitcoin per share. Essentially, the mNAV metric compares the company’s enterprise value to the value of its crypto holdings; if it drops below 1, issuing new equity becomes more challenging.
Private Funding to Expand Bitcoin Holdings
Institutional investors participated in the placement, providing fresh capital that Metaplanet will primarily use to buy more Bitcoin. Already among the top corporate Bitcoin holders, the company is positioning itself to become an even bigger player as it continues to build its treasury.

Despite these pressures, some experts insist the “security budget” deficit—the fear that transaction fees alone cannot sustain network security—is often viewed through a narrow lens that ignores bitcoin’s multi-decade timeline.
