7 月 2 日,Securitize(NYSE:SECZ)通过与 Cantor Equity Partners II 完成的 SPAC 并购正式登陆纽交所,交易首日一度上涨,市场一度将其视为代币化行业迎来传统资本市场认可的标志性事件。但短短几个交易日后,剧本急转直下。截至 7 月 7 日收盘,SECZ 报 8.06 美元,单日暴跌 25.92%,盘中最低触及 8.00 美元,较上市首周高点已回撤约 40%。

tZERO 要求 Securitize 在 6 月 18 日前停止相关产品的商业化,否则将寻求禁令救济与经济赔偿。

tZERO 的专利主张也并非临时起意。这家成立于 2014 年、脱胎于 Overstock.com(美国老牌线上零售商,创始人 Patrick Byrne 是区块链早期布道者)证券代币交易平台构想的公司,自 2025 年底完成管理层换届后,就启动了对自身知识产权组合的战略审查。


据 tZERO 于 6 月 15 日发布的知识产权组合执法进展公告,其持有 105 项专利、覆盖 23 个专利族,业务范围横跨合规证券代币系统、加密资产集成、KYC 认证流程等代币化基础设施核心环节。

但其实 Securitize 面临的专利压力并不止于 tZERO 一家。同期 Liquid Rarity Exchange 也已就另外两项专利对 Securitize 提起独立诉讼,要求赔偿并申请禁令救济。


换句话说,Securitize 可能只是第一个,而不是唯一一个。据 rwa.xyz 数据,RWA 市场规模从年初的约 220 亿美元加速扩张至超过 330 亿美元,行业从「概念验证」进入「实际部署」阶段。


这正是 tZERO 选择在此时将沉睡多年的专利组合转化为商业筹码的背景,当代币化行业的专利壁垒开始被真正主张时,几乎所有声称「掌握核心技术」的平台都可能被卷入类似纠纷。这比一次股价回撤更值得长期关注。
