The U.S. Securities and Exchange Commission proposes modifications to revise Exchange Act Rule 15c2-11, stating that the rule only applies to equity securities, as this move provides guidance for over-the-counter (OTC) trading, potentially ending the question of whether the rules apply to other asset classes like crypto-linked products.

According to the official statement on March 16, the main focus of Rule 15c2-11 is on preventing certain manipulative and fraudulent trading schemes in the OTC equity markets. From now on, it would refer to only equity securities and sets out certain compliance requirements, where broker-dealers must gather and check key details before quoting or maintaining a market for securities in the OTC market.

Hester Peirce Supports Rule Clarification

Further, Commissioner Hester M. Peirce said she supports the SEC's proposal to amend Rule. With that, Peirce noted that the 2020 amendments have raised questions regarding the applicability of the rule and argued that the Commission provided temporary guidance and relief for fixed-income securities.

She acknowledged that her own role in not clarifying the rule's scope earlier, " I continue to blame myself for failing to ensure that we made the scope of the rule's application crystal clear during the adoption of amendments to Rule 15c2-11

Saylor’s remarks came in response to comments from technology investor and former Meta Platforms executive Chamath Palihapitiya, who suggested that artificial intelligence could erode companies’ competitive advantages faster than expected.

According to Palihapitiya, rapid advancements in artificial intelligence could weaken companies’ long-term growth potential and make their stock valuations more dependent on short-term profitability.

According to him, Bitcoin stands out as a suitable asset due to its limited supply and decentralized nature. Saylor stated that Bitcoin could assume the role of “digital capital” in the global financial system.

Palihapitiya had previously suggested that a 30 to 40 percent drop in long-term asset values could create a significant shift in global markets. In this scenario, he noted, investors might turn to lower-risk assets such as infrastructure projects or short-term government bonds.

On the other hand, Palihapitiya also raised the issue that quantum computers could pose a potential threat to cryptographic systems in the future. Saylor argued that such a development would affect not only Bitcoin but the entire digital ecosystem, including internet infrastructure, banking systems, and artificial intelligence platforms, making a comprehensive technological update inevitable.

Mastercard Inc. has reached a definitive agreement to acquire BVNK, a London‐based stablecoin infrastructure and payments platform, in a deal valued at up to $1.8 billion, expanding its digital assets footprint and on‐chain payment capabilities. The agreement, announced on March 17, 2026, includes $300 million in contingent consideration and is expected to close before the end of the year, subject to regulatory clearance and customary closing conditions.

Under the agreement, Mastercard will integrate BVNK’s technology with its global payments network to enable interoperability between traditional fiat rails and stablecoin‐based digital asset systems.

BVNK’s platform, founded in 2021, provides infrastructure that bridges fiat currencies with stablecoins and supports payment settlement on all major blockchain networks across more than 130 countries. Mastercard’s investor release cited a rapidly scaling digital currency payments market, with stablecoin volumes estimated at roughly $350 billion in 2025.
